[HISTORY: Adopted by the Mayor and Council
of the Borough of Northvale 7-8-1981 by Ord. No. 484. Amendments noted where

There is hereby established in and for the senior
center of the Borough of Northvale a Board of Trustees (hereinafter
referred to as "Board"), which Board shall have the responsibilities,
duties and authority as hereinafter set forth and which shall otherwise
be known as the "Board of Trustees of the James F. McGuire Memorial
Senior Citizens Center." The principal address of the said Board shall
be 116 Paris Avenue, Northvale, New Jersey, 07647, or such other place
as may from time to time be established.
A.
The membership of the Board of Trustees shall consist
of, for convenience in designating the manner of appointment, the
following classes:
(1)
Class I: the Mayor, and his term shall coincide with
his term of elected office; provided, however, that the Mayor may
decline appointment to the Board of Trustees of the Senior Citizens
Center or resign therefrom in his/her discretion.

(2)
Class 2: a member of the Council, to be appointed
by it. The term of this Class 2 member shall be one year.
(3)
Class 3: one of the officials of the municipality
other than a member of the governing body, to be appointed by the
Mayor with the confirmation of the Council. The term of the Class
3 member shall be one year.
(4)
Class 4: 12 persons to be appointed by the Mayor with
the confirmation of the Council. Subsequent to January 1, 1993, all
Class 4 Trustees of the James F. McGuire Memorial Citizens Center
shall serve for terms of three years, with an initial appointment
by the Council of four members selected randomly to serve initial
terms of one year, four members selected randomly to serve initial
terms of two years and an additional four members selected randomly
to serve initial terms of three years. Thereafter, all members shall
serve three-year terms.

B.
The Class 4 members shall hold no other municipal
office, whether appointed or elected. The appointing authority shall,
to every extent practicable, assure that the Class 4 members represent
a variety of community interests and institutions. The Board shall
appoint a Chairman, who shall be a Class 4 member.
C.
The Mayor and Council shall fill any vacancies that
may occur for the unexpired term only.
D.
All appointments heretofore made by the appointing
authority from January 1, 1981, until the effective date of this chapter
shall be deemed valid as if made pursuant to the provisions contained
herein, and to that extent, this chapter is retroactive to January
1, 1981.
Each member of the Board of Trustees shall be
entitled to one vote on all matters during a regular or special meeting
at which said member is present, and provided that a quorum is present
at the time of such meeting.
Eight members shall constitute a quorum for
the purposes of the transaction of any official business of the Board.
In order for any matter to be acted upon, a majority vote of a quorum
shall be necessary.
The meetings of the Board of Trustees shall
be chaired by the Chairman. The Board, at its annual organizational
meeting to be held in January of each year, shall elect from its members
a Chairman, a Vice Chairman, a Secretary and a Treasurer. The Vice
Chairman shall assume and perform all of the duties and responsibilities
of the Chairman in the absence of the latter. The Chairman shall preside
at all meetings of the Board and is eligible to vote on all matters
coming before the Board. The Chairman shall appoint all committees
and the Chairmen thereof, subject to approval of the entire Board
of Trustees. The Secretary shall be responsible for the scheduling
of all meetings and, in consultation with the Chairman, have the responsibility
for the preparation of all agendas and minutes. The Treasurer shall
keep such records of funds received and expended, prepare an annual
budget and do such other financial recordkeeping as is deemed necessary.

Regular meetings of the Board of Trustees shall
be held no fewer than four times during the year, the dates of which
shall be determined by the Chairman subject to the approval of the
Board of Trustees at the organizational meeting. There shall be no
more than two months intervening between meetings. Special meetings
may be called by the Chairman or, in his absence, by the Vice Chairman
on written notice to the membership of the Board of Trustees at least
three days prior to the special meeting. Such notice shall include
the agenda of the special meeting.
In the notification of each regular or special
meeting, the subjects to be considered at the meeting shall be specified.
The agenda shall be prepared by the Secretary in consultation with
the Chairman and shall include all items submitted to the Board by
its members and by the public.
The duties of the Secretary of the Board of
Trustees shall be as follows:
A.
To take the minutes of all regular and special meetings
and to make the minutes available to the Chairman in sufficient time
so that they may be mailed to the members prior to the next scheduled
meeting.
B.
To receive and bring to the meeting all relevant correspondence.
C.
To preside at all Board meetings when both the Chairman
and Vice Chairman are not present.
D.
To assist in the preparation of the annual report
of the Board of Trustees activities.
E.
To perform all such other duties as may be requested
by the Mayor and Council of the Borough of Northvale or the Chairman
of the Board of Trustees.
The duties of the Treasurer of the Board of
Trustees shall be as follows:
A.
To maintain an up-to-date ledger of all income and
expenditures.
B.
To prepare a report of current balances for each meeting
of the Board of Trustees.
C.
To be responsible for the preparation of an annual
budget for the center for submission to the Mayor and Council of Northvale.
D.
To perform all such other duties as may be requested
by the Mayor and Council of the Borough of Northvale or the Chairman
of the Board of Trustees.
The Board of Trustees shall be responsible to
the Mayor and Council of the Borough of Northvale on all matters relating
to the development, administration and execution of senior citizens
activities within the senior citizens complex.
A.
The Board of Trustees shall be responsible for:
(1)
Administration, finance, personnel, programming, developing,
public and community relations.
(2)
Recommending to the Mayor and Council any suitable
individuals to fill vacancies on the Board, the Senior Center Director
and any other changes as they become available.
(3)
Developing a list of the needs of the senior citizens
in the area and determining the manner in which the facilities of
the senior citizens center may be utilized to meet such needs.
(4)
Developing a list of activities and purposes for which
the senior citizens center may be utilized.
(5)
Performing all such other duties as may from time
to time be requested by resolution of the Mayor and Council of the
Borough of Northvale.
(6)
Preparing annual reports to be forwarded to the Mayor
and Council and for dissemination to the general public. Such report
shall indicate the uses to which the senior citizens center is being
put as well as any recommendations for future use.
B.
The Board of Trustees shall further develop and implement
programs concerning the needs, opportunities and problems of older
people through forums, seminars and classes. It shall provide, to
the best of its ability, speakers from organizations, clubs and other
public and private agencies.
The Mayor and Council hereby delegates to the
Board of Trustees the authority to make and amend from time to time
all policy-making decisions concerning the Northvale senior citizens
center. Such delegation, however, shall not prevent the Mayor and
Council from, at any time, overriding a decision of said Board.
A.
The Center Director shall be appointed by the Mayor
and Council for a period of one year; provided, however, that the
initial term of the Center Director shall run from the date of appointment
through December 31 of each year.
B.
The Center Director shall be responsible to the Board
of Trustees for implementing policies and programs determined by the
Board for the operation of the center.
C.
The Center Director shall be responsible for developing
the scheduling and supervising all activities of the center.
D.
The Center Director shall attend all meetings of the
Board of Trustees and prepare a report of the activities and needs
of the center.
E.
The Center Director shall assist the Board in such
recordkeeping as may be deemed necessary for budgetary and statutory
purposes as well as others required by the Board.
F.
The Center Director shall serve at the pleasure of
the Mayor and Council.
G.
The Center Director shall have no vote on any matters
being considered by the Board of Trustees.
