It is the joint desire and intention of the municipal authorities of the City of Monessen, Westmoreland County, the Borough of Charleroi, Washington County, and the Borough of Donora, Washington County, all municipalities of the Commonwealth of Pennsylvania, to organize an Authority under the Municipality Authorities Act of 1945, designated as Act No. 164, approved May 2, 1945, together with all supplements thereof and amendments thereto,[1] for the purpose of exercising and enjoying all the powers of the Act, its supplements or amendments.

The name of the proposed Authority is "Mon Valley Sewage Authority."
The proposed Articles of Incorporation of the Authority are as follows:

To the Secretary of the Commonwealth of Pennsylvania:
In compliance with the Municipal Authorities Act of 1945, its supplements and amendments, the City of Monessen, Westmoreland County, the Borough of Charleroi, Washington County, and the Borough of Donora, Washington County, all municipalities of the Commonwealth of Pennsylvania, pursuant to identical ordinances duly adopted by the representative municipal authorities of the three municipalities, signifying their joint desire and intention to form an Authority, hereby certify:
1.
The name of the Authority shall be: Mon Valley Sewage Authority.
2.
This Authority is formed under the Municipality Authorities Act of 1945, its supplements and amendments.
3.
No other joint Authority organized under the Municipality Authorities Act of 1945, its supplements or amendments, the Act approved June 28, 1935, P.L. 463, as amended, is in existence in or for the incorporating municipalities named herein.
4.
The purpose of the Authority is, with the approval of the City of Monessen and the Borough of Donora, to acquire, hold, construct, improve, maintain and operate, own, lease, either in the capacity of lessor or lessee, sewers, sewer systems or parts thereof and sewage treatment works, including works for treating and disposing of industrial waste.

The respective names of the incorporating municipalities are:
The City of Monessen
The Borough of Charleroi
and
The Borough of Donora
6.
The names and addresses of the Mayor and the members of Council of the City of Monessen, each persons being the municipal authorities of the municipality, are as follows:[1]
The names and addresses of the Mayor and members of Council of the Borough of Charleroi, such persons being the municipal authorities, are as follows:[2]
The names and addresses of the Mayor and members of Council of the Borough of Donora, such persons being the municipal authorities, are as follows:[3]
7.
The membership of the Board of the Authority to be formed hereby shall be apportioned so that the City of Monessen shall have three members, the Borough of Charleroi shall have two members, and the Borough of Donora shall have two members.
8.
The names and addresses and terms of office of the first Board of the Authority to be formed hereby are as follows:[4]
IN WITNESS WHEREOF, the incorporating municipalities have executed these Articles, each by its proper officers thereunto duly authorized, and under its municipal seal, this 23rd day of April 1963.

The following persons, respectively hereinafter designated as appointees of either the City of Monessen, the Borough of Charleroi or the Borough of Donora, are hereby appointed members of the Board of the Authority, with the following terms of office:

Charles Skomski, City of Monessen, Chairman, whose term expires 1968.
B. 
Dr. Joseph D'Alessio, City of Monessen, Secretary, whose term expires 1965.
C. 
George Kessler, City of Monessen, Treasurer, whose term expires 1964.
D. 
Jack H. France, Borough of Charleroi, whose term expires 1967.
E. 
Donald Lee Reeves, Borough of Charleroi, whose term expires 1964.
F. 
Joseph Clement, Borough of Donora, whose term expires 1966.
G. 
Gus Costas, Borough of Donora, whose term expires 1965.
The total annual salary to be paid the Authority Board members shall be set forth from time to time by resolution.

The Articles of Incorporation of the Authority, in substantially the form set forth in § 5-19 of this article, shall be executed on behalf of the City of Monessen by the Mayor, and under its municipal seal, attested by the City Clerk of the City of Monessen; on behalf of the Borough of Charleroi by the President of Council and Mayor of the Borough of Charleroi, and under its municipal seal, attested by the Secretary of the Borough of Charleroi; and on behalf of the Borough of Donora by the President of Council and Mayor of the Borough of Donora, and under its municipal seal, attested by the Secretary of the Borough of Donora; and such officers are hereby authorized, empowered and directed to do all things necessary and appropriate to effect and establish the said Authority, in conformity with the Municipal Authorities Act of 1945, its supplements and amendments.[1]
