The Robinson Township Board of Commissioners, by and through this article, identically also enacted by other similarly situated municipalities, hereby creates T.E.A.M., Tourism Enhancement Authority for Municipalities (hereinafter referred to as T.E.A.M.), which shall be an incorporated body of the Commonwealth of Pennsylvania.
T.E.A.M. shall act pursuant to its articles of incorporation, its bylaws and the Municipality Authorities Act of 1945, as amended (see now 53 Pa.C.S.A. § 5601 et seq.).
T.E.A.M. shall have all of the powers provided municipal authorities in the Municipal Authorities Act of 1945, as amended (see now 53 Pa.C.S.A. §§ 5607, 5608 and 5611). It shall have the purpose stated in its articles of incorporation as well as that stated in the preamble to this article. Specifically, T.E.A.M. shall have the power to accept revenues from the Treasurer or other official of the County of Allegheny as provided in the Second Class County Code, 16 P.S. § 4970.2(c)[1] or any other pertinent legislation for the development and implementation of promotional programs which are designed to stimulate and increase the volume of convention, tourist, vacation and visitor business within Robinson Township or any other legal purposes, in addition, T.E.A.M. shall have the power to accept contributions, assessments and taxes for the purpose of providing administrative services as that term is defined in the Municipality Authorities Act of 1945, as amended (see now 53 Pa.C.S.A. § 5602).

A keystone function of T.E.A.M. shall be the promotion of tourism and convention business. In carrying out its several functions, T.E.A.M. may advertise and publicize tourist and other attractions in Robinson Township; may promote and otherwise encourage the use of facilities in Robinson Township and the airport area; may promote and attract conventions, exhibitions and other functions utilizing facilities located in Robinson Township and the airport area; may engage in precompletion advertising and publicizing of any convention center, exhibition hall or other facility within Robinson Township and the airport area; may promote and attract conventions, exhibitions and other functions which will utilize any convention center or exhibition hall within Robinson Township and the airport area; may promote or otherwise encourage the use of Robinson Township and the airport area premises by the public as a whole, or any segment thereof, through the most effective means available to T.E.A.M.
It is not intended that the above list of activities to promote tourism and convention business and other similar activities which may be engaged in by T.E.A.M. be exhaustive, but it is intended that this list be exemplary. T.E.A.M. shall endeavor, at all times, to enhance and promote tourism and convention business in the entire airport area.
A. 
T.E.A.M. shall adopt policies and procedures for its administration and operation. Said policies shall be adopted by a Board of Directors which shall be the governing body of the Authority.
B. 
The Board of Directors shall consist of at least five individuals, two of whom shall be appointed by the Board of Commissioners or Supervisors, as the case may be, of each of the participating municipalities and one at large, who shall serve specified terms of office, the various lengths of which are set forth below.
C. 
In selecting the members of T.E.A.M.'s Board of Directors the similarly situated municipalities now or hereafter participating in T.E.A.M. shall utilize the following methodology and procedure for filling those positions:
(1) 
Robinson shall designate, in its initial selection of T.E.A.M.'s Board of Directors, two individuals who shall serve in the position for specified terms of five and three years, respectively. Initially, the Board of Supervisors or Commissioners, as the case may be, of the other similarly situated municipality participating in T.E.A.M. shall also name two individuals who shall serve for terms which are respectively in length, four and two years. The fifth member of the Board shall be selected as provided hereinbelow and shall serve an initial period of one year.
(2) 
In the event of a vacancy on the Board of Directors of T.E.A.M., the Board of Commissioners or Supervisors, as the case may be, of the municipality whose member is no longer sitting on T.E.A.M.'s Board of Directors or the four members appointed by the participating municipalities in the event the vacancy is due to the absence of the fifth member shall select an individual or individuals to replace that Board member or members, and this individual shall serve out the term of the individual who has vacated his/her position on T.E.A.M.'s Board. The Board of Directors shall appoint a Chairperson, Vice Chairperson and any other officials that it may deem necessary, desirable or appropriate.
(3) 
In the event that other municipalities seek participation in T.E.A.M., then each such municipality shall appoint its representative board members in the same manner as provided hereinabove.
(4) 
A member of the Robinson Township Board of Commissioners may be a member of the Board of Directors of T.E.A.M.
(5) 
The fifth member of T.E.A.M.'s Board of Directors shall be selected by unanimous vote of the 10 Directors elected as above provided and shall so be reelected as provided herein. The fifth Director shall be selected from a list of nominees submitted by all participating municipalities together with a detailed curriculum vitae and may be a resident of one of the municipalities participating in T.E.A.M. or of any other municipality within the general airport geographic area, provided that the person so selected shall have a business or professional interest related to tourism or convention promotion in the PIA area.
T.E.A.M.'s Board of Directors may utilize the recommendations and resources of an advisory board or other agency which may be appointed by the Robinson Township Board of Commissioners. Said T.E.A.M. Advisory Board, if established, shall have as its mission the same mission as that of T.E.A.M.
T.E.A.M. may establish a blue ribbon panel, task forces or other entities to further promote and foster the development of tourism and convention business in the PIA area.
T.E.A.M. shall have the power to encompass any new geographic areas in the PIA area in order to better serve the region, may increase its membership on the Board of Directors to reflect the areas of interest outside of the immediate area of the PIA and may change the Authority's name to reflect any such inclusion pursuant to applicable law.
T.E.A.M. may appoint such employees as it deems necessary, desirable or appropriate to administer and manage the Authority's operations.
A. 
T.E.A.M. shall have no authority, explicit or implied, to impose upon any person, natural or legal, or property, real or personal, tangible or intangible, any taxes, assessments, levies or any such revenue-producing burdens.
B. 
However, T.E.A.M. may receive from Robinson Township commercial property owners any voluntary contributions.
C. 
T.E.A.M. shall have no authority to borrow any funds without the express written consent of all the municipalities participating in it.
T.E.A.M. shall be solely responsible for any and all of its obligations. No municipality, now or hereafter participating in T.E.A.M., shall ever be responsible for or be deemed by its participation in T.E.A.M. to have assumed any financial obligation or obligations, now or hereafter incurred, of T.E.A.M.
T.E.A.M. shall, at all times relevant hereto, discharge all of its functions within its budgetary limits and shall not at any time incur any financial or contractual obligations of any sort or debts as to which funds are not already in hand.
The provisions of this tourist promotion article shall become effective immediately and, unless otherwise amended, remain in effect until the Authority is terminated pursuant to the requirements of 53 P.S. § 317.[1]
