The plan shall be administered by the Township Council.

The Council shall act by a majority of its members at a meeting or in writing without a meeting.

The Council shall appoint a Secretary who may be but need not be one of its own members. He shall keep complete records of the administration of the plan.

The Council shall have all powers necessary to administer the plan in accordance with its terms and provisions. The Council may provide rules and regulations for administration of the plan consistent with its terms and provisions. Any construction, interpretation or application of the plan by the Council shall be final, conclusive and binding on all persons. The Council may authorize each or any one of its members to perform routine acts and to sign documents on its behalf. The Council may appoint agents and may employ attorneys, actuaries and accountants as necessary.

The Township shall pay all expenses authorized and incurred by the Council in the administration of the plan except to the extent such expenses are paid from the trust.
