Section 122.010 Creation.

There may be created a commission to be known as the "Tax Increment Financing Commission of the Village of Twin Oaks, Missouri)", (the "Tax Increment Financing Commission"), which Tax Increment Financing Commission shall have continuous and perpetual existence unless and until terminated by the Board of Trustees (the "Board") of the Village in accordance with the TIF Act.

Section 122.020 Composition.

A. 
The Tax Increment Financing Commission shall be composed of twelve (12) members to be appointed as follows:
1. 
Three (3) members shall be appointed by the chief elected officer of St. Louis County with consent of a majority of the St. Louis County Council;
2. 
Two (2) members shall be appointed by the school boards whose districts are included within the Village; such members shall be appointed in any manner agreed upon by the affected districts;
3. 
One (1) member shall be appointed in any manner agreed upon by the affected districts, to represent all districts other than school districts levying ad valorem taxes within the Village, excluding representatives of the Board; and
4. 
Six (6) members shall be appointed by the Chair of the Board of Trustees of the Village (the "Chair") with the consent of the majority of the Board.

Section 122.030 Terms of Members.

A. 
The terms of the members of the Tax Increment Financing Commission shall be:
1. 
At the option of the members appointed by the Chair, the terms of the members of the Tax Increment Financing Commission who are appointed by the school boards or other taxing districts shall coincide with the length of time a redevelopment project, redevelopment plan or designation of a redevelopment area as defined in the TIF Act is considered for approval by the Tax Increment Financing Commission. Such term shall terminate upon final approval of the project, plan or designation of the area by the Village. Thereafter, the Tax Increment Financing Commission shall consist of the six (6) members appointed by the Chair, except that members representing the school boards and other taxing districts shall be appointed as provided in the TIF Act prior to any amendments to any redevelopment plans, redevelopment projects or designation of a redevelopment area. If any school district or other taxing jurisdiction fails to appoint members to the Tax Increment Financing Commission within thirty (30) days of receipt of written notice of a proposed redevelopment plan, redevelopment project or designation of a redevelopment area, the remaining members may proceed to exercise the power of the Tax Increment Financing Commission.

Of the members first (1st) appointed by the Chair, two (2) shall be designated to serve for a term of two (2) years, two (2) shall be designated to serve for a term of three (3) years and two (2) shall be designated to serve for a term of four (4) years from the date of such initial appointments. Thereafter the members appointed by the Chair shall serve for a term of four (4) years, except that all vacancies shall be filled for unexpired terms in the same manner as were the original appointments.

Section 122.040 Duties.

A. 
The Tax Increment Financing Commission shall have the following duties only:
1. 
To hold public hearings required by Section 99.825 of the TIF Act on any proposed redevelopment plan, redevelopment project or designation of a redevelopment area or any amendment thereto and to provide notice as required by Section 99.830 of the TIF Act;
2. 
To vote on any such plan, project, designation or amendment within thirty (30) days of the completion of any such hearing;
3. 
To make recommendations to the Board within ninety (90) days of the completion of any such hearing; and
4. 
To undertake such other duties as may be expressly directed by the Board consistent with the TIF Act, as from time to time amended.

Section 122.050 Organization.

The Tax Increment Financing Commission, upon the appointment of members as required by this Chapter, at an initial meeting shall organize itself and elect from its number a Chair, Vice Chair, Treasurer and Secretary, each to serve for a one (1) year term or until a successor is elected.

Section 122.060 Rules and Regulations.

The Tax Increment Financing Commission shall adopt such rules and regulations for operation as shall enable the Tax Increment Financing Commission to maintain an orderly procedure for business and to effectively and efficiently exercise the powers authorized by the TIF Act and this Chapter. The Tax Increment Financing Commission shall call upon the Village Attorney for all legal opinions and legal services which the Tax Increment Financing Commission may require in the performance of its duties under this Chapter. The Tax Increment Financing Commission shall call upon the Village Administrator/Clerk or his or her designee for all technical planning services which the Tax Increment Financing Commission may require in the performance of its duties under this Chapter.

Section 122.070 Keeping of Records.

The Tax Increment Financing Commission shall keep records and minutes of its meetings and shall report annually in writing to the Board respecting Tax Increment Financing Commission activities for the preceding year.
