§ 27-1 Creation; terms.

There is hereby created an Industrial Commission to be composed of seven members appointed by the Mayor of the Borough of Buena with the approval of Council. One member shall be appointed for one year, one member for two years, one member for three years, two members for four years and two members for five years. At the expiration of each of the above terms, the new members shall be appointed for five-year terms. All terms shall expire December 31; provided, however, that the members whose terms shall have so expired shall serve until a successor shall be appointed by the Mayor and qualifies and the term year in which this chapter is adopted shall be considered on December 31 of the year of adoption of this chapter.

§ 27-2 Vacancies.

Vacancies in membership shall be filled by appointment by the Mayor with the approval of Council for the unexpired part of the term left vacant. Members shall serve for their respective terms and until their successors are appointed and qualify.

§ 27-3 Membership; qualifications.

A. 
Each member shall be, for the five years preceding his or her appointment, a citizen of the United States and a qualified voter of the State of New Jersey.
B. 
The Mayor shall be ex officio a member of this Commission.

§ 27-4 Assistants.

Insofar as practical, assistants required by the Commission shall be recruited from the public employees of the Borough. The Borough Attorney shall be the Attorney of the Commission. The Borough Engineer shall be the Engineer of the Commission. The several departments of the government of the Borough shall be available to the Commission for the purpose of the Commission's business.

§ 27-5 Powers and duties.

A. 
The Commission created under this chapter shall have the following powers:
(1) 
To sue and be sued.
(2) 
To adopt and use an Official Seal.
(3) 
To adopt suitable bylaws.
(4) 
To determine the qualifications and duties of its employees and to fix, subject to the foregoing provisions hereof, their compensation.
(5) 
To introduce contracts within its own budgetary limitations and to recommend contracts that exceed its budgetary limitations to the Mayor and Council of the Borough of Buena.
B. 
The Commission shall function for the following purposes:
(1) 
To inquire into, survey and publicize the advantages of vacant lands and buildings in the Borough.
(2) 
To classify such lands and buildings as to their adaptability.
(3) 
To study and analyze various industries.
(4) 
To advertise the industrial advantages of the Borough of Buena.
(5) 
To solicit industries, to purchase or lease the vacant land or property in the Borough of Buena.
(6) 
To accomplish the sale or lease of the vacant land or buildings owned by the Borough of Buena by entering into preliminary negotiations with industries whose entry into the commercial life of the Borough would be advantageous to the growth and prosperity of the Borough and its citizens, by recommending terms of contractual relationships or proposed contracts to the Mayor and Council of the Borough of Buena.
(7) 
To acquire title to vacant land or buildings for the purpose of resale or lease to industries whose presence within the Borough would be to the advantage of its citizens.

§ 27-6 Budget and funding.

The Commission shall present annually, on or before January 31, to the Chief Financial Officer of the Borough its budget for the coming year, showing all unexpended balance on hand from the previous appropriation. The Commission shall control the allocation of funds made available to it by the Borough Council and all bills shall be paid by the Borough Treasurer upon the approval of Borough Council.

§ 27-7 Meetings.

A. 
The Commission shall meet once each month on the fourth Tuesday and at such other times as the Chairman requests.
B. 
A quorum shall consist of four or more members present at a meeting.
C. 
The meetings of the Commission shall be closed.

§ 27-8 Reports and recommendations.

The reports and recommendations of the Commission shall be made in writing to the Mayor and Council and shall be signed by the Chairman of the Commission.
