Article I Airport Authority

There is hereby established and created an authority, to be known as the Airport Authority of the City of Excelsior Springs, hereinafter called "Authority".

The Authority shall be composed of five (5) Directors.

The Mayor, with the approval of the City Council, shall appoint the Directors of the Authority, chosen from the citizens at large with reference to their fitness for such office, and no member of the Municipal Government shall be a member of the Authority.

The Directors shall hold office for three (3) years, except that the terms of the citizen members first appointed shall be, two (2) for one (1) year, two (2) for two (2) years, and one (1) for three (3) years from the date of their appointment; and annually thereafter, the Mayor shall, with the approval of the City Council, appoint as before, Directors who shall hold office for three (3) years and until their successors are appointed.

The Mayor may, by and with the consent of the City Council, remove any Director from the Authority for misconduct or neglect of duty.

Vacancies in the Board of Directors, of the Authority, occasioned by removal, resignation, death, or otherwise, shall be reported to the Mayor and the City Council and be filled in like manner as original appointments.

No Director shall receive compensation for his/her services as such.

The Directors shall, immediately after their appointment, meet and organize by the election of one (1) of their number as Chairman, one (1) Vice-Chairman and one (1) Secretary-Treasurer. Such officers shall serve for one (1) year.

The Directors of the Authority shall make and adopt such by-laws, rules and regulations for their guidance and for the government of the airport operation and facilities as may be expedient, not inconsistent with the ordinances of the City, the provisions of this Code, the laws of the State or the regulations of the Federal Aviation Administration. The Authority's by-laws, rules and regulations shall be submitted to the City Council for their consideration and approval.

The Authority shall hold regular meetings and special meetings as they shall provide by rule, and shall keep a record of its proceedings, which records shall be public records.

A majority of the Directors of the Authority shall constitute a quorum for the transaction of business, but any actions or acts to be made by such authority shall be done when three (3) members of the Authority vote in favor of such act or action.
All monies received for such airport operations shall be deposited in the Treasury of the City to the credit of the Airport Fund and shall be kept separate and apart from the other monies of the City.

The Authority shall have jurisdiction and control of such airport facilities and property as determined by the City Council. The Authority may use equipment for general maintenance and repair of airport property, subject to the discretion of the City Manager.

The Authority shall be authorized to make recommendations to the City Council as to airport leasing agreements, not inconsistent with the ordinances of the City, the provisions of this Code, the laws of the State or the regulations of the Federal Aviation Administration. The City Council shall have exclusive authority to execute all leasing agreements of airport facilities.
