[Adopted at time of adoption of Code (see Ch. 25, Construction and Effect of Ordinances, Art. II)]
The annual Village organizational meeting shall be held at the Village Board meeting following the fourth Monday of April of each year at the Village Board Room unless changed by the electors pursuant to § 61.19, Wis. Stats.
A. 
Village powers. Village powers are set pursuant to § 61.34, Wis. Stats.
B. 
Meeting times and dates.
(1) 
Regular meetings. Village Board meetings are held the second and fourth Monday of every month. At times, meetings, due to official holidays which may fall on or near a regular meeting date, may be subject to change or cancellation.
(2) 
Set meeting schedule. The times for the regular meetings of the Village Board as noted in Subsection B(1) are 6:30 p.m.
(3) 
Place of meetings. All meetings of the Village Board and commissions shall be held at the Village Hall Board Room, W482 Clifton Road, unless specified in the notice that another meeting place is to be used.
(4) 
Quorum. Four Trustees, which may include the Village President, shall constitute a quorum of the Village Board. A majority of the members appointed to any other board or commission shall constitute a quorum. Any official or Commissioner who shall, without good cause, fail to attend a regular or adjourned meeting or special meeting called in accordance with these rules shall be subject to a fine as prescribed in Chapter 40, Fees and Penalties, of this Code, by vote of all members present at such meeting, whether or not such members constitute a quorum.
(5) 
Meeting notice. Any regular meeting may be rescheduled or changed by action of the Board or commission at the next preceding meeting. The vote shall be by 2/3 of the members of the Board, and the Clerk-Treasurer shall be directed to post a notice at all official posting places 10 days before the time when the regular meeting would have been held if not rescheduled. The notice shall include the newly scheduled date.
(6) 
Withdrawal from meetings. No member, at any meeting of the Board or commission, shall withdraw without permission from the presiding officer.
C. 
Posting of official public notice.
(1) 
Except as described in Subsection C(2), the following places are designated as locations in the Village of Sherwood for the posting of official public notices:
(a) 
On the Village Hall bulletin board located in the lobby of the municipal offices located at W482 Clifton Road;
(b) 
On the bulletin board outside the Village Hall office door located at W482 Clifton Road;
(c) 
On the bulletin board inside the Dick's Family Foods Store at W647 Knight Drive;

On the bulletin board inside the Village of Sherwood post office at N439 Military Road; and
(e) 
Placed electronically on the Village of Sherwood website, www.villageofsherwood.org.

(2) 
The Village Administrator is authorized to designate temporary alternatives or additional posting locations in the Village as necessary from time to time due to the locations identified in Subsection C(1) above being temporarily inaccessible or unavailable, or as required by applicable laws.
At all regular meetings, the general order of business of the Village Board shall be conducted in the following order; however, circumstances may warrant a deviation from time to time:
A. 
Call to order and roll call.
B. 
Pledge of allegiance.
C. 
Approval of the agenda.
D. 
Approval of minutes.
E. 
Registered citizen comments on agenda items. The public may comment; however, no action can be taken. There shall be a three-minute time limit per person on nonrepetitive matters.
F. 
Report of Village officers:
(1) 
Village President.
(2) 
Clerk-Treasurer.
G. 
Village Engineer: project update(s).
H. 
Village Administrator.
I. 
Old business.
J. 
New business.
K. 
Complaints and compliments.
L. 
Correspondences.
M. 
Adjournment.
A. 
Control of meeting. The Village President shall preserve order and conduct the proceedings of the meeting. A member may appeal the decision of the presiding officer. Such appeal is not debatable and must be sustained by a majority of the members present, excluding the presiding officer.
B. 
Absence of Village President. In the event the President is absent, the Vice President shall preside over the meeting.
C. 
Participation in debate. The Village President may speak in discussion without rising or leaving the chair, can make motions, and vote on all questions.
A. 
A special Village meeting of the electors may be convened if:
(1) 
Pursuant to § 61.32, Wis. Stats., it is called by any two Trustees in writing, filed with the Clerk-Treasurer, who shall thereupon seasonably notify all the Trustees of the time and place thereof in the manner directed by the bylaws.
(2) 
It is called by the Village Board.
B. 
If a special Village meeting is requested or called under Subsection A, the time, the date, and purpose of the meeting shall be stated in the request or as part of the call.
C. 
A special Village meeting may be recessed to a time and date certain if the resumed meeting is held within 30 days after the date of the originally scheduled meeting.
A. 
Except as provided in § 61.32, Wis. Stats., all meetings of the Village Board, committees thereof, and other boards and commissions shall be open to the public.
B. 
Notice requirements. Per § 61.32, Wis. Stats., public notice of every meeting of a governmental body shall be given at least 24 hours prior to the commencement of such meeting, unless for good cause such notice is impossible or impractical, in which case shorter notice may be given, but in no case may the notice be provided less than two hours in advance of the meeting.
C. 
Public forum. The public may comment; however, no action may be taken. There shall be a three-minute time limit per person on nonrepetitive matters; however, the Chair/President may use discretion as to comments to be heard and time limitations during the public forum.
D. 
Order to be followed; citizen comments. No business shall be taken up out of order unless by unanimous consent of all members and in the absence of any debate whatsoever. The Chair/President shall enforce the time limit on the length of time citizens may address the commission/Board.
E. 
Roll call; procedure when quorum lacking. As soon as the commission/Board is called to order, the Village Clerk-Treasurer shall proceed to call the names of the members, noting who are present and who are excused, and record the same in the proceedings. If it shall appear that there is not a quorum present, the fact shall be entered in the minutes, and the commission/Board shall adjourn.
F. 
Creation of the agenda for Village meetings and committee meetings.
(1) 
All meetings of a governmental body are required to post an agenda announcing the topic of the meeting, date, time and where such meeting is held.
(2) 
Members of the commission, Board and Village officers desiring a matter to be placed on the agenda shall submit the same to the Village Administrator/Clerk-Treasurer, who shall be responsible for agenda preparation and distribution, by 12:00 noon the Wednesday preceding the regular meetings. Items not received by the Village Clerk-Treasurer prior to the Wednesday deadline shall require the approval of the Village Administrator or Village President for placement on the agenda.
Ordinances, resolutions, bylaws, communications and other matters submitted to the Board/commission shall be read by title and author and referred to the appropriate committee by the Village President. No ordinance or bylaw shall be considered unless presented in writing by a Commissioner and/or the Village President before final vote is taken; no ordinance, resolution or bylaw need be read in full.
The deliberations of the Board shall be conducted in accordance with rules of the Village Board and/or the parliamentary rules contained in Robert's Rules of Order Revised, which is incorporated in this section by reference. No person, other than a member, shall address the Board or commission without permission of the presiding officer. No ordinance, resolution or other motion shall be discussed or acted upon unless it has been seconded. No motion shall be withdrawn or amended without the consent of the person making the motion and the person seconding it.
These rules or any part thereof may be temporarily suspended in connection with any matter under consideration by a recorded vote of 2/3 of the members present, but in no event shall the rules be suspended when there are less than a quorum of members present.
A. 
Plan Commission (PC).
(1) 
The PC shall hold one regular meeting at the Village Hall Board Room at W482 Clifton Road on the first Monday of each month at 6:30 p.m. At times, meetings, due to official holidays which may fall on or near a regular meeting date, may be subject to change or cancellation.
(2) 
Additional Commission meetings may be held at any time upon the call of the Chairperson, or by a majority vote of the members of the Commission, or upon the request of the Village Board, following at least 24 hours' notice to each member of the Commission. Meeting agendas shall be posted at all Village official posting sites.
(3) 
Special Commission meetings requested by any individual(s) for special consideration of an item shall be requested in writing and filed with the Village Clerk-Treasurer at least 72 working hours prior to the desired meeting date. If a special meeting is approved, the individual(s) requesting the special meeting shall pay all costs associated with the holding of such meeting at the time the written request is filed.
B. 
Water and Sewer Utility Commission.
(1) 
Water and Sewer Utility Commission meetings are held once a month on the third Monday of every month.
(2) 
At times, meetings, due to official holidays which may fall on or near a regular meeting date, may be subject to change or cancellation.
(3) 
Additional Commission meetings may be held at any time upon the call of the Chairperson, or by the majority vote of the members of the Commission, or upon the request of the Village Board, following at least 24 hours' notice to each member of the Commission and the official newspaper. Meeting agendas shall be posted at the Village official posting sites.
(4) 
Special Commission meetings requested by any individual(s) for special consideration of an item shall be requested in writing and filed with the Village Clerk-Treasurer at least 72 working hours prior to the desired meeting date. If a special meeting is approved, the individual(s) requesting the special meeting shall pay all costs associated with the holding of such meeting at the time the written request is filed.
C. 
Community Development Authority (CDA).
(1) 
CDA meetings are held on the fourth Wednesday of every month. Every quarter a meeting shall be held, on the third Wednesday, for the purposes of conducting closed sessions in order to meet with grant applicants.

Meetings are held at the Village Hall Board Room, W482 Clifton Road. At times, in the event the meeting location is changed, public notice shall be given in accordance with § 19.84, Wis. Stats.
(3) 
Additional CDA meetings may be held at any time upon the call of the Chairperson, or by the majority vote of the members of the CDA, or upon the request of the Village Board, following at least 24 hours' notice to each member of the CDA and the official newspaper.
(4) 
Meeting agendas shall be posted at all Village official posting sites.
(5) 
Special CDA meetings requested by any individual(s) for special consideration of an item shall be requested in writing and filed with the Village Clerk-Treasurer at least 72 working hours prior to the desired meeting date. If a special meeting is approved, the individual(s) requesting the special meeting shall pay all costs associated with the holding of such meeting at the time the written request is filed.
D. 
Park, Recreation and Urban Tree Board (PRUT).
(1) 
PRUT meetings are held once a month, on the third Monday of every month.

Additional PRUT meetings may be held at any time upon the call of the Chairperson, or by the majority vote of the members of the PRUT, or upon the request of the Village Board, following at least 24 hours' notice to each member of the PRUT and the official newspaper.
(4) 
Meeting agendas shall be posted at all Village official posting sites.
(5) 
Special PRUT meetings requested by any individual(s) for special consideration of an item shall be requested in writing and filed with the Village Clerk-Treasurer at least 72 working hours prior to the desired meeting date. If a special meeting is approved, the individual(s) requesting the special meeting shall pay all costs associated with the holding of such meeting at the time the written request is filed.
E. 
Ex officio office. An ex officio office added to the Plan Commission, Park, Recreation and Urban Tree Board and Community Development Authority. Office will be filled by the current Village President; it is a nonvoting and unpaid member.

Fox Cities Area Room Tax Commissioner; annual nomination by the Village President and approved by the Village Board to serve on behalf of the Village of Sherwood on the Fox Cities Area Room Tax Commission. Individual will attend meetings, report back to the Board on a timely fashion, be paid a per diem set by the Village Board and be reimbursed mileage per IRS annual mileage rate.
B. 
Appleton Redevelopment Authority Exhibition Center Advisory Board Member; annual nomination by the Village President and approved by the Village Board to serve on behalf of the Village of Sherwood on the Appleton Redevelopment Authority Exhibition Center Advisory Board. Individual will attend meetings, report back to the Board on a timely fashion, be paid a per diem set by the Village Board and be reimbursed mileage per IRS annual mileage rate.
C. 
Palisades Pond District Board Member; annual nomination by the Village President and approved by the Village Board to serve on behalf of the Village of Sherwood on the Palisades Pond District Resident Board. Individual will attend meetings, report back to the Board on a timely fashion, be paid a per diem set by the Village Board and be reimbursed mileage per IRS annual mileage rate.
