The terms used in this chapter shall be defined pursuant to this section as follows:
CONTRACT
Any written agreement between the Town of Huntington and a contractor or vendor to do or perform any kind of labor, service, purchase, construction or public work, including written agreements funded, in whole or in part, under any local, state or federal program.
CONTRACTOR or VENDOR
Shall have its ordinary meaning and shall include in its meaning any individual, corporation, partnership, proprietorship, franchisee, organization or association having one or more contracts with the Town of Huntington providing for consideration in excess or aggregating more than the sum of $1,000 or who becomes an applicant for or otherwise seeks such status before the Town Board, Planning Board or Zoning Board of Appeals of the Town of Huntington.
COUNSEL
Attorney or attorneys retained by the contractor or vendor, including associated attorneys, and cocounsel retained by the counsel.
FULL DISCLOSURE CLAUSE
A proviso to be included as a material part of a contract imposing upon the contractor or vendor a material, contractual and statutory duty to file a verified public disclosure statement.
VERIFIED PUBLIC DISCLOSURE STATEMENT
A declaration, the contents of which are acknowledged before a notary public, containing information required under this chapter.
A full disclosure clause shall be included in all future contracts between the Town of Huntington and a contractor or vendor. Such full disclosure clause shall constitute a material part of the application or contract.
Notice of full disclosure shall be included and made part of any specifications or applications, if any, which are submitted to interested parties.
Each contractor or vendor shall file a verified public disclosure statement with the Town Clerk as soon as practicable prior to being awarded a contract, franchise or approval of an application.
The verified public disclosure statement required by this chapter shall contain the following:
A. 
Name and address of contractor or vendor.
B. 
A complete list of names and addresses of shareholders who hold an actual or beneficial interest in 5% or more of the outstanding stock issued by the contractor or vendor, including the names and addresses of officers and directors of corporate shareholders.
C. 
A complete list of the names and addresses of any other contractor, vendor or person who has, holds or may derive any actual or beneficial percentage of interest in any other form of ownership of the contractor or vendor in an amount equal to 5% or more.
D. 
A table of organization of the contractor or vendor, showing the names and addresses of all individuals serving on the Board of Directors or comparable body of the contractor or vendor.
E. 
The names and addresses of all corporate officers of the contractor or vendor.
F. 
The names and addresses of all counsel to the contractor or vendor.
Proof of financial capability shall be included in all disclosure statements.
A separate folio for each contractor or vendor shall be maintained in alphabetical order, for public inspection, by the Town Clerk.
No board, agency or department of the Town of Huntington shall grant a contract, franchise or application without complying with the provisions of the law.
