A. 
A Board of Trustees for the Hunt Memorial Building is hereby established. The Board shall have full control of the Hunt Memorial Building, formerly known as the Hunt Memorial Library, which is to be used as, but not limited to, a community building, a museum and a space for any other appropriate use approved by the Board of Trustees.
B. 
The Hunt Memorial Building Board of Trustees shall consist of nine members, the majority of whom are either residents of Nashua or employed in Nashua. The Mayor of Nashua or the Mayor's designated representative shall be a member of the Board of Trustees, and the Mayor of Nashua shall appoint the remaining members of the Board of Trustees, subject to confirmation by the Board of Aldermen. The initial Board of Trustees, except the Mayor or the Mayor's designated representative, shall hold office according to the following timetable: one to hold office for one year; one to hold office for two years; two to hold office for three years; two to hold office for four years; and two to hold office for five years. After the initial Board of Trustees terms have expired the term of office for each Trustee shall be five years. Vacancies will be filled by the Mayor and confirmed by the Board of Aldermen. The Board of Trustees shall meet at least annually on the first Monday in February. Five members shall constitute a quorum for the exercise of power and performance of duties. The Trustees shall receive no compensation for their services.
C. 
The Hunt Memorial Building Board of Trustees shall manage the property and all business affairs of the building including but not limited to overseeing expenditures. The Board of Trustees may employ such personnel as it deems necessary to operate and maintain the facility. The Board of Trustees may also apply and accept for the benefit of the Hunt Memorial Building grants, gifts, devises and bequests, as may be made to it or to the City for the purpose of increasing or improving the Hunt Memorial Building. The Board of Trustees is also authorized to take and hold any grant, gift, bequest or devise of property upon trust, real properties excluded, to apply the principal or the income thereof in any manner it sees fit in accordance with its best judgment and which will promote the purpose for which the building is established e.g., community spirit; all, however, to be in accordance with the terms and/or conditions of such grant, gift, bequest or devise.
D. 
The Hunt Memorial Building Board of Trustees shall make and execute all such rules and regulations for its government, the preservation of property under its charge and the use and management thereof, as it may from time to time deem necessary or expedient.
E. 
The Hunt Memorial Building Board of Trustees shall present an annual report to the Mayor and Board of Aldermen including but not limited to a listing of all receipts and expenditures, a statement of any unexpended balance of money it may have, and of grants, gifts, bequests or devises it may have received and is holding on behalf of the City. Any disposal of real estate shall be governed by the Mayor and Board of Aldermen.

A. 
An Auditorium Commission is hereby established. The Commission shall be responsible for making recommendations to the Board of Education for the improvement and maintenance of the Edmund Keefe Auditorium. Expenditures for proposed improvement to the auditorium will be through resolution approved by the Board of Aldermen. The Commission shall also make recommendations to the Board of Education concerning the use of the auditorium including, but not limited to, scheduling, rentals, and the determination of rental fee(s).

B. 
The Commission shall consist of eight members. Two members shall be appointed by the Mayor and confirmed by the Board of Aldermen. Two members shall be appointed by the President of the Board of Alderman and confirmed by the Board of Aldermen. Four members shall be appointed by the Board of Education.
C. 
Two members shall be from the arts community, each of whom must be currently affiliated with a registered music or theater group. One of the members to be appointed by the Mayor, and one by the President of the Board of Aldermen. Two members from the Nashua community at large with an interest in the arts. One member will be appointed by the Mayor and one by the President of the Board of Aldermen.
D. 
Members of the Commission will serve for three-year terms. Initially, the terms will be staggered. The first two appointments by the Mayor will be for three-year terms. The first two appointments by the President of the Board of Aldermen will be for two-year terms and remaining four members will be appointed for one-year terms. The members of the Commission will serve without compensation. They shall elect a Chairperson by majority vote and adopt bylaws as necessary to regulate their affairs.

A Joint Employee/Administration Health Insurance Advisory Committee is hereby established as a cooperative venture to identify innovative strategies that will allow the City to continue to maintain quality health care insurance, while containing future growth in health plan costs. The Committee shall be responsible for making recommendations to the Mayor and the Board of Aldermen for the development of the health benefits program structure, including health and prescription benefit designs, and the City's wellness/education programs.
B. 
The Committee shall consist of 24 members as follows: Mayor or designee; Director of Administrative Services or designee; the Insurance and Risk Manager or designee; the City Solicitor/Corporation Counsel or designee; the Chief Financial Officer or designee; the Human Resource Manager or designee; the Superintendent of Schools or designee; and the presidents of each of the City's collective bargaining units (17 units) or designees.

The Board shall have full control of the City’s use of the Nashua Center for the Arts at 201 Main Street, Nashua, subject to any operating or other agreement entered into by the City prior to the formation of the Board of Trustees, which is to be used as, but not limited to, a performing arts venue, a community building, and a space for any other appropriate use approved by the Board of Trustees.
B. 
The Nashua Center for the Arts Board of Trustees shall consist of 10 members, the majority of whom are either residents of Nashua or employed in Nashua. The Mayor of Nashua or the Mayor's designated representative shall be a member of the Board of Trustees. The President of the Board of Aldermen shall appoint a voting liaison from the Board of Aldermen and an alternate. The Mayor of Nashua shall appoint the remaining members of the Board of Trustees, subject to confirmation by the Board of Aldermen. The initial Board of Trustees, except the Mayor or the Mayor's designated representative, shall hold office according to the following timetable: one to hold office for one year; one to hold office for two years; two to hold office for three years; two to hold office for four years; and two to hold office for five years. The Nashua Center for the Arts Board of Trustees shall present an annual report to the Mayor and Board of Aldermen including but not limited to a listing of all receipts and expenditures, a statement of any unexpended balance of money it may have, and of grants, gifts, bequests or devises it may have received and is holding on behalf of the City. Any disposal of real estate shall be governed by the Mayor and Board of Aldermen.
