The Board of Commissioners of Hatfield Township, Montgomery County,
Pennsylvania, signifies the intention and desire to organize an Authority
under provisions of the Act of Assembly approved May 2, 1945, P.L. 382, as
amended and supplemented, known as the "Municipality Authorities Act of 1945"
(the "Authorities Act").[1] The formation of such an Authority, which will be a hospital authority,
is desirable for the health and safety of the people in the area to be served
by a hospital and to have the facilities approved by an Authority.

The Board of Commissioners and the Secretary-Manager of the Board of
Commissioners of Hatfield Township, Montgomery County, Pennsylvania, are authorized
and directed to execute in behalf of Hatfield Township, Articles of Incorporation
for such Authority in substantially the following form:

In compliance with the requirements of the Act of Assembly approved
May 2, 1945, P.L. 382, as amended and supplemented, known as the "Municipality
Authorities Act of 1945," and pursuant to a resolution duly adopted by the
municipal authorities in Hatfield Township, Montgomery County, Pennsylvania,
expressing the intention and desire of the municipal authorities of said municipality
to organize an Authority under provisions of said Act, said municipality certifies:

The name of the Authority is "North Penn Health, Hospital and Education
Authority."

2.

The Authority is formed under the provisions of the Act of Assembly
approved May 2, 1945, P.L. 382, as amended and supplemented, known as the
"Municipality Authorities Act of 1945," for the following purposes:

To engage in and to do any lawful act permissible under the Municipality
Authorities Act of 1945, May 2, 1945, P.L. 382, as amended and supplemented,
including, but not limited to, acquiring, holding, constructing, financing,
improving, maintaining and operating, owning, leasing, either in the capacity
of lessor or lessee, projects of the kind and character and providing financing
for insurance reserves for those activities enumerated under said Act.

No other authority has been organized under provisions of the Act of
Assembly approved May 2, 1945, P.L. 382, as amended and supplemented, known
as the "Municipality Authorities Act of 1945," or under provisions of the
Act of Assembly approved June 28, 1935, P.L. 463, as amended and supplemented,
and is in existence in or for the incorporating municipality, except that
the incorporating municipality hereto formed the Hatfield Township Municipal
Authority (a sewer authority) and the same was approved by the Secretary of
the Commonwealth of Pennsylvania May 13, 1960.

The name of said incorporating municipality is: Hatfield Township Municipal
Authority, School Road and Chestnut Street, Hatfield, Montgomery County, Pennsylvania,
and Hatfield Township Industrial Development Authority, School Road and Chestnut
Street, Hatfield, Montgomery County, Pennsylvania.

The names and addresses of the municipal authorities of said incorporating

The names, addresses and terms of office of the first members of the
Board of Authority, each of whom is a citizen of said incorporating municipality

The term of the existence of the Authority shall be 50 years from the
date of the filing of the Articles of Amendment to the Authority's Articles
of Incorporation.

IN WITNESS WHEREOF, the Commissioners of Hatfield Township, Montgomery
County, Pennsylvania, cause these Articles of Incorporation to be executed
by the Board of Commissioners and to be attested to by the Secretary of the
Board of Commissioners and the Seal of such Township to be affixed hereto,
this 10th day of October, A.D., 1974.

The Hatfield Township Board of Commissioners and the Secretary of the
Board of Commissioners are authorized and directed to cause notice of the
substance of this article, including the substance of the foregoing Articles
of Incorporation, and of the proposed filing of such Articles of Incorporation,
to be published as required by the Municipality Authorities Act.
The Board of Commissioners of Hatfield Township and the Secretary of
the Board of Commissioners of Hatfield Township are authorized and directed
to file such Articles of Incorporation and the necessary proofs of publication
with the Secretary of the Commonwealth of Pennsylvania and to do all other
things necessary to effect the incorporation of such Authority, including
payment of required filing fees.
The following named persons are appointed the first members of the Board
