The Borough Council, being the municipal authorities
of the Borough of Pen Argyl, hereby signify their intention and desire
to organize an Authority under the provisions of the Municipality
Authorities Act of 1945, as amended.[1]

The President of the Borough Council, Mayor
and Borough Secretary are hereby authorized and directed to execute
on behalf of the Borough of Pen Argyl Articles of Incorporation for
said Authority providing, among other things:
A.
That the name of the Authority shall be Pen Argyl
Municipal Authority.
B.
That the Authority is formed under the Act of May
2, 1945, P.L. 382, as amended, known as the "Municipality Authorities
Act of 1945."
C.
That no other Authority has been organized under said
Act or under that Act of June 28, 1935, P.L. 463, and is in existence
in or for the incorporating municipality.
D.
That the name of the incorporating municipality is
the Borough of Pen Argyl and setting forth the names and addresses
of the municipal authorities of said municipality, to wit: the Burgess,
Borough Secretary, President of Borough Council and Borough Councilmen.
E.
That there shall be five members of the Board of the
Authority and stating the names, addresses and terms of office of
the first members of the Board of the Authority.
The following persons, citizens and residents
of the Borough of Pen Argyl, are hereby appointed as members of the
Board of said Authority for the terms of office indicated opposite
their respective names as follows:

The proper officers of the Borough are hereby
directed, as required by the Municipality Authorities Act of 1945,
as amended, to publish notice of this chapter and of the day upon
which said Articles of Incorporation will be filed with the Secretary
of the Commonwealth of Pennsylvania; to file said Articles of Incorporation,
together with this chapter authorizing the incorporation of the Authority
and the necessary proofs of publication, with the Secretary of the
commonwealth; and to do all other things necessary or appropriate
to effect the incorporation of Pen Argyl Municipal Authority.

The Articles of Incorporation for Pen Argyl Municipal Authority,
which original Articles were filed on June 15, 1959, pursuant to the
provisions of the Municipalities Act of 1945, as amended, are hereby
amended as follows: The term of existence of the Pen Argyl Municipal
Authority shall be extended, so as to expire as of December 31, 2039.
