GENERAL REFERENCES
Advisory boards — See Ch. 129.
The name of this Council shall be the "York County Area Agency on Aging Advisory Council" (YCAAA).
The purpose of this Council shall be to represent the older people of York County by defending their rights and expanding their viable options in the pursuit of health, independence and dignity. This Council shall also review and evaluate existing and proposed programs, policies and legislation affecting its constituency.
A. 
Authority rests in the federal law, which states that the Council is to "advise the Area Agency on all matters relating to the administration of the area plan and operations conducted thereunder."
B. 
The Council is mandated to:
(1) 
Advise the Area Agency to develop and administer the area plan.
(2) 
Review the area plan or summary.
(3) 
Review, at least quarterly, documents or summaries thereof detailing the progress achieved to date by the Area Agency toward the accomplishment of the objectives set forth in the area plan.
(4) 
Review and comment on all policies, programs and actions which affect older persons.
(5) 
Conduct public hearings.
(6) 
Represent the interests of older people.
C. 
State law, in the creation of a Pennsylvania Department of Aging, further requires "maximum possible involvement of such (councils) in determining local programs and policies and advocacy roles within the Area Agency."
A. 
Membership. The membership of the Advisory Council shall be limited to a minimum of 15 and a maximum of 19 persons and shall be composed of the following:
(1) 
More than 50% must be over 60 years of age, including:
(a) 
Persons in greatest social and economic need.
(b) 
Area Agency recipients.
(c) 
Representative members of groups or classes of older people.
(d) 
One or more local elected officials.
(e) 
General public.
(2) 
Geographic representation shall be considered in the selection of members, as feasible.
(3) 
Priority shall be given, if other criteria are met, to persons who have demonstrated a strong interest in assuring independence and dignity for all older people.
(4) 
Persons not eligible for voting membership are:
(a) 
Employees or governing board members of any agency under contract to YCAAA, although such individuals may serve in a nonvoting capacity on committees.
(b) 
Appointing authorities and their employees.
(c) 
Personnel employed by YCAAA, except that the Agency Director serves the Council ex officio and staff may be assigned to assist committees.
B. 
Applicants for Council membership will be solicited and screened by the Nominating Committee, which will present recommendation to the full Council for approval. Upon approval, the applicants will be submitted to the York County Board of County Commissioners for its review and approval.
C. 
Term of service for Council membership shall be three years from the month following formal notification from the York County Board of County Commissioners. No member shall be permitted to serve more than two consecutive full terms.
D. 
Termination.
(1) 
Resignation from the Council before the end of term shall be made in writing to the Chairperson.
(2) 
A member who is absent for three consecutive meetings or who fails to attend at least 50% of the meetings in a calendar year will be sent a letter asking his/her intentions with respect to the Council. The letter will be sent immediately following a Council meeting. Failure to reply before the next meeting will be considered a resignation.
A. 
Officers of this Council shall be a Chairperson, Vice Chairperson, Secretary and Treasurer.
B. 
Officers shall be elected from the membership of the Council for a term of two years or until expiration of Council membership, whichever is less.
C. 
No officer shall be elected to serve for more than two consecutive terms.
D. 
Officers shall be elected by a majority vote of members present at the last meeting of the calendar year.
A. 
Duties of the Chairperson shall be to:
(1) 
Conduct meetings and public hearings.
(2) 
Call special meetings.
(3) 
Prepare agenda.
(4) 
Appoint committee Chairpersons from the Council.
(5) 
Chair Executive Committee and serve ex officio on all other committees.
(6) 
Formally approve annual plan for the Council.
B. 
Duties of the Vice Chairperson shall be to:
(1) 
Perform the duties of the Chairperson in his/her absence.
(2) 
Chair at least one standing committee.
C. 
Duties of the Secretary shall be to:
(1) 
Keep minutes of all official business of the Council.
(2) 
Keep file copies of all committee reports.
(3) 
Handle correspondence as necessary.
(4) 
Maintain an up-to-date list of membership status.
D. 
Duties of the Treasurer shall be to:
(1) 
Chair the Finance Committee.
(2) 
Evaluate the Agency program budget.
(3) 
Prepare Advisory Council annual budget.
(4) 
Report on Advisory Council expenditures.
A. 
The Council shall hold regularly scheduled bimonthly meetings or as needed of the full Council. The standing committees shall hold working meetings in the month between the full Council meetings.
B. 
The annual meeting shall be held in December.
C. 
A quorum shall consist of 60% of the current total membership.
D. 
All regular meetings of the Council and its committees shall be open to the public in compliance with (Pennsylvania Act 176) P.L. 486, No. 175.[1]

A. 
Standing committees. All standing committees shall establish a regular meeting date and time and shall report such meetings to the Council, in writing, using committee meeting report forms.
(1) 
Executive Committee.
(a) 
The Executive Committee shall be responsible to:

Manage the affairs of the Council between meetings.
[2] 
Represent the Council in any official capacity.
(b) 
Membership of the Executive Committee shall be:

All council officers.
[2] 
Ex officio, the Agency Director.
(2) 
Nominating Committee. The Nominating Committee shall be responsible to:
(a) 
Maintain Council membership according to § 365-4A and B.
(b) 
Present annually a slate of officers and propose replacements as necessary.
(3) 
Planning Committee. The Planning Committee shall be responsible to:
(a) 
Assess the needs of those eligible for Agency programs in York County.
(b) 
Set priorities and review and recommend all programs and contracts in accordance with plan objectives.
(c) 
Monitor annual plan.
(4) 
Program Evaluation Committee. The Program Evaluation Committee shall be responsible to:
(a) 
Examine Agency programs of service for effectiveness in meeting needs of clients.
(b) 
Recommend necessary corrective action.
(5) 
Advocacy Committee. The Advocacy Committee shall be responsible to:
(a) 
Study and make recommendations on current or proposed legislation at all levels of government that impact upon eligible people.
(b) 
Actively promote changes in policy and program for the benefit of eligible people.
(c) 
Select issues that need to be addressed that are in the best interest of our constituency.
(6) 
Finance Committee. The Finance Committee shall be responsible to:
(a) 
Prepare Council budget and supervise maintenance of expense records.
(b) 
Approve expenditures of Council.
(c) 
Report to Council on fiscal status as required.
(d) 
Assure appropriate distribution of total Agency funds.
(e) 
Monitor expenditures, Agency and contractors.
B. 
Ad hoc committees or task forces will be established by the Council Chairperson as needed.
The York County Commissioners shall appoint appropriate staff to support the work of the Council and its respective committees.
These bylaws can be adopted and amended at any regular meeting of the Council by a two-thirds majority vote of the membership of the Council or can be amended by a two-thirds majority of the members present, provided that prior notification has been made and copies distributed at least 10 days in advance. Additionally, adoption of the bylaws is subject to the approval of the County Commissioners.
