The Township of Rochester joins and shall be a member of the Upper Valley Council of Governments.
No action taken by the Upper Beaver Council of Governments which creates a legal obligation, whether it be contractual, financial or otherwise, upon a member municipality shall be binding upon the member municipality affected unless and until its municipal legislative body ordains, resolves or otherwise enacts the actions recommended by the Upper Beaver Valley Council of Governments, according to the procedure set forth in the appropriate municipal code and laws of the Commonwealth of Pennsylvania.
This Agreement stands in perpetuity.
The Upper Beaver Valley Council of Governments shall assist the member municipalities individually or collectively to execute their governmental responsibilities in as efficient and responsible manner as possible; further, the Upper Beaver Council of Governments shall undertake such other projects related to municipal governments as the Board of Directors may direct, subject to the provisions of § 14-2.
The Upper Beaver Valley Council of Governments shall be financed by annual dues paid by member municipalities and by funds obtained by the organization from public or private sources.
The Upper Beaver Valley Council of Governments shall be the agent for the Township of Rochester in matters pertaining to this agreement. A legislative officer of each municipality shall be a representative of the Upper Beaver Valley Council of Governments; there shall also be appointed an alternate from among the legislative body of that municipality to represent the Township of Rochester fully in the representative's absence; and the officers of the Upper Beaver Valley Council of Governments shall be authorized to act as they deem necessary, in accordance with its bylaws.
The real or personal property necessary to implement this agreement shall be acquired, managed and disposed by the Upper Beaver Valley Council of Governments, in accordance with the bylaws of the Councils of Governments and any laws or contract which apply.
The bylaws of the Upper Beaver Valley Council of Governments attached hereto, made a part hereof and marked as "Exhibit A" are hereby approved.[1]
