A. 
The Town of Smithsburg, Maryland ("grantor" or "Town"), adopted an ordinance on January 8, 1991 (the "1991 Ordinance"), granting Antietam Cable Television, Inc. ("Antietam"), a franchise to operate a local cable television system within the Town.
B. 
Antietam desires to extend the term of the existing franchise.
C. 
Grantor has determined that Antietam has the necessary legal, financial, technical and character qualifications to continue operating a local cable television system and that it is in the best interests of the citizens of Smithsburg to extend the existing franchise term.
D. 
Grantor, by ordinance dated this fourth day of May 2004, desires to extend the franchise term granted to Antietam pursuant to the 1991 Ordinance.
Grantor hereby grants an extension of the nonexclusive franchise held by Antietam for the purpose of constructing, operating, and maintaining a cable television system within the present and future boundaries of the Town. The grant shall be consistent with the 1991 Ordinance referenced above and attached hereto as Exhibit 1.[1] All of the provisions of the 1991 Ordinance, and all of the rights, privileges, limitations, and obligations established thereunder, are hereby adopted and applied to this extension.

The term of this franchise extension shall be for 15 years, as measured from, and commencing on, the date hereof. This franchise extension is subject to Antietam's acceptance and agreement within 30 days hereof and subject to any additional renewal periods.
