The name of this organization shall be the "Honesdale Borough
Park and Recreation Commission."
The purpose of this organization is:
1.
To formulate policies, advise, recommend, promote and maintain public
parks and recreation in the Borough of Honesdale in accordance with
the laws and agreements governing public recreation in the Commonwealth
of Pennsylvania.
2.
To build the public recreation and parks program into and about public
schools, grounds and facilities.
3.
To conduct a public recreation program utilizing the physical properties
available in the Honesdale area.
4.
To provide leadership in coordinating all activities of a recreation
nature in the community to obtain a maximum benefit for the citizens
of this community.
5.
To provide an adequate and balanced recreational program to meet
the various needs and interests of every citizen.
6.
To develop a Municipal Tree Plan.
7.
To plant, remove, maintain and protect shade trees in the parks and
on the streets and highways in the borough.
8.
To cooperate with existing organizations to accomplish these purposes.
The Board shall consist of members appointed by the Honesdale
Borough Council. Members of the Park and Recreation Commission shall
serve for respective terms of office of no longer than five years,
and such terms of office shall be staggered in such a manner that
at least one term expires annually. Additional nonvoting members may
be appointed at the Board's discretion.
Section 1.
Election of Officers. At the January meeting, the members of
the Park and Recreation Commission shall elect from its membership
a Chairman, Vice Chairman and Secretary.
Section 2.
Special Election. In case of a vacancy occurring during the
year, an election shall be held at the next meeting following such
vacancy, provided that at least five days' written notice of
such election shall have been previously sent to all Park and Recreation
Commission members.
Section 3.
Terms of Office. Officers shall be elected to serve for one
year and until their successors have been duly elected and qualified.
Section 4.
Employment of Director. The Board may employ a Director of
Parks and Recreation who shall be Chief Administrative Officer of
the Park and Recreation Commission but shall not be a member of the
Commission. He shall be entitled to attend all regular meetings of
the Commission and to participate in discussion but shall not be entitled
to vote.
Section 1.
Special Meetings. Special meetings may be called by the Chairman
at any time deemed necessary or desirable.
Section 2.
Regular Meetings. The Commission shall meet regularly each
month.

Constitution. The Constitution may be amended at any regular
meeting by a two-thirds vote. The proposed amendments shall have been
submitted in writing and read to the organization at the regular meeting
the month before being voted on.
Section 2.
Bylaws. Bylaws may be adopted, amended or repealed at any regular
meeting by a majority vote.

Duties of the Chairman. The Chairman of the Board shall preside
at the meetings of the Board and shall perform other duties ordinarily
performed by that officer.
Section 2.
Duties of the Vice Chairman. The Vice Chairman of the Board,
in absence of the Chairman, shall perform all the duties of the Chairman
of the Board.
Section 3.
Duties of the Secretary. The Secretary shall perform the usual
duties pertaining to this office. The Secretary shall keep or cause
to be kept a full and true record of all the meetings of the Board
and of all meetings of Standing Committees of the Board and of such
special meetings as shall be requested of him or her. When necessary,
the Secretary shall see that all bonds required from the officers
and employees of the Park and Recreation Commission for the faithful
performance of their duties are properly filed. The Secretary shall
issue or cause to be issued notice of regular meeting of the Commission
and calls for special meetings as hereinbefore provided.
Section 2.
Appointment of Committees. The Standing Committees shall be
appointed by the Chairman of the Commission at the January meeting
or as soon thereafter as possible and serve until their successors
are appointed and qualified.
Section 3.
Personnel of Committees. Each Committee shall consist of not
fewer than two members of the Commission, together with the Chairman
and the Director of Parks and Recreation.
Section 4.
Minutes of the Committees. A record of the actions of each
Committee shall be kept by a member of said Committee and shall be
reported, in writing, to the Commission at its next meeting for action
by the Commission, if the Commission so desires.
Section 5.
Finance and Budget Committee. The Committee on Finance, in
cooperation with the Director and the ex officio Treasurer of the
Park and Recreation Commission, shall make a careful study of the
anticipated income of the Park and Recreation Commission from all
sources and shall certify to the Commission such amount as need be
raised by taxation or otherwise in order to provide for all anticipated
expenditures of the Park and Recreation Commission and shall recommend
to the Commission the method or methods by which the anticipated needs
shall be met. The Committee on Finance shall have supervision over
the accounting and financial records of the Park and Recreation Commission
and shall submit to the Commission for its consideration and approval
a budget for the Park and Recreation Commission for the year beginning
on the first of January following. The budget submitted shall include
an itemized statement of the probable expenses of the Park and Recreation
Commission for said year, showing in detail, as nearly as possible,
the salaries to be paid and the persons to whom payable and set forth
in such tabulation as shall readily be compiled.
The budget, when approved by the Commission, shall be the authority
for incurring expenditures of the various departments included herein.
It shall be the duty of the Director of Parks and Recreation and the
Treasurer of the Board, acting as a committee on expenditures, to
make a distribution of such budget appropriations as are desired by
authorizing expenditures within the limits of such appropriations
subject to the approval procedures.

The Committee on Finance shall arrange and supervise the annual
audit of the books and securities of the Commission by a firm of public
accountants. A copy of the annual audit report shall be made available
to each member of the Commission, the Director of Parks and Recreation
and the Treasurer.

Section 6.
Parks, Buildings and Grounds Committee. This Committee is responsible
for responsible planning, development, operation and maintenance of
the park system for the Borough of Honesdale.
The Committee on Buildings and Grounds shall exercise supervision
over the care and control of all buildings and grounds and equipment
of the Park and Recreation Commission. It shall be the duty of this
Committee to see that the buildings and property of the Park and Recreation
Commission are adequately insured.

The Committee shall investigate and determine the need for new
facilities or renovation of existing buildings and for the expansion,
improvement and beautifying of existing areas. It shall consider the
reports and suggestions of the Park and Recreation Commission and
make its recommendation of specifications and plans for new buildings
or improvements to the Commission for consideration; it shall call
for bids when directed by the Commission and shall recommend to the
Commission for approval the contractor or contractors who, in its
opinion, should be awarded the contract for the construction or major
renovation authorized.

It shall be the duty of this Committee to consider and make
recommendations relating to program and any other related matter.
The Committee shall report its actions or any recommendations at any
meeting of the Commission.

and all problems, including retirement, tenure, working conditions,
etc., and such matters as may be referred to the Committee for consideration
by either the Park and Recreation Commission or the Board. The Committee

Section 7.
Recreation Committee. This Committee is responsible for the
development and operation of a diversified recreation program which
will attempt to meet the needs of all community residents.
It shall be the duty of this Committee to consider and make
recommendations relating to program and any other related matter.
The Committee shall report its actions or any recommendations at any
meeting of the Commission.

and all problems, including retirement, tenure, working conditions,
etc., and such matters as may be referred to the Committee for consideration
by either the Park and Recreation Commission or the Board. The Committee

the Board.

Section 1.
Regular meetings. The regular meeting shall be held on the
fourth Monday of each month at 7:30 p.m. at Borough Hall.
Section 2.
Notice of meetings. Notice of all regular meetings shall be
mailed to each member of the Commission at least five days prior to
each meeting.
Section 3.
Quorum. A majority of the Commission shall at all times constitute
a quorum.
Section 4.
Rules of order. General parliamentary rules, as given in Robert's
Rules of Order, as modified by rules and regulations of the Commission,
shall be observed in conducting meetings of the Board.
Section 5.
Order of business. The following shall be the order of business
of the Board, but the rules of order may be suspended and any matters
considered or postponed by action of the Board:

Consideration of minutes of last regular meeting and of any special
meetings held subsequently and their approval or amendment.

The fiscal year of the Board shall begin January 1 and continue
until 12:00 midnight, December 31 next following.
