The mission of the Schenectady Energy Advisory Board is to make recommendations to the City Council and to the administration in line with resolutions and agreements passed by the City Council and Mayor that minimize environmental and financial impacts by reducing emissions and energy use of the City infrastructure as well as the community in general. In doing so, the Schenectady Energy Advisory Board will support City staff, community, state and federal efforts to encourage a cleaner, greener community.
The Schenectady Energy Advisory Board shall serve in an advisory capacity and will function as follows:
A. 
Advise City officials on planning and development activities related to energy and environmental issues.
B. 
Make recommendations on the appropriate use of funds.
C. 
Advise City officials on sound energy and environmental practices.
A. 
Composition; terms. The Energy Advisory Board is composed of nine members who shall be appointed to three-year terms. Members may be reappointed to serve consecutive terms.
B. 
Appointments.
(1) 
The Mayor shall appoint, and the City Council shall approve, the members of the Energy Advisory Board.
(2) 
Appointments shall be made during City Council meetings upon a duly passed resolution by the City Council.
(3) 
Nonvoting adjunct members may be appointed by the officers of the Schenectady Energy Advisory Board, upon the approval of the Mayor.
(4) 
Procedure for initial appointment. Upon the first appointment to the Schenectady Energy Advisory Board, three members shall be appointed for a three-year term; three members shall be appointed for a two-year term; and three members shall be appointed for a one-year term. Thereafter, all members shall be appointed to a three-year term.
C. 
Qualifications.
(1) 
No representatives of a political action group may be appointed to the Schenectady Energy Advisory Committee.
(2) 
Members appointed to the Schenectady Energy Advisory Board may represent the following nonexhaustive list of organizations:
(a) 
Members of the community.
(b) 
Local government.
(c) 
Not-for-profit organizations.
(d) 
Civic groups.
(e) 
Public utilities.
(f) 
Financial institutions.
(g) 
Housing groups and housing associations located within City limits.
(h) 
Industry, including manufacturing, research and development, small business and economic development agencies.
(i) 
Labor and workforce development organizations.
(j) 
Institutions of higher learning.
D. 
Removal. A member of the Schenectady Energy Advisory Board who misses three consecutive regular meetings without cause, as determined by the Chair, may be removed at the next regular meeting of the EAB by a vote of the members of the Schenectady Energy Advisory Board.
A. 
The officers of the Schenectady Energy Advisory Board shall be:
(1) 
Chairperson.
(2) 
Vice Chairperson.
(3) 
Secretary/Treasurer.
B. 
Duties.
(1) 
Chairperson. The Chairperson will preside at all meetings of the Schenectady Energy Advisory Board, shall perform all such services as are usually performed by the Chairperson of an organization, shall perform such duties as may be requested by the Schenectady Energy Advisory Board, and will be an ex-officio member of all committees of the Board.
(2) 
Vice Chairperson. The Vice Chairperson will discharge the duties of the Chairperson in the absence of the Chairperson or in the event of the Chairperson's inability to act.
(3) 
Secretary/Treasurer. The Secretary/Treasurer will keep meeting minutes, records and other approved documents in accordance with City regulations and as directed by the Chairperson.
C. 
Nomination and election of officers.
(1) 
Nominations. The Nominating Committee shall present a slate of officers in advance of the voting meeting. Additional nominations may be made from the floor.
(2) 
Elections.
(a) 
Timing. The officers shall be elected at the first regular meeting of the calendar year and shall assume their duties at the next meeting.
(b) 
Method. Voting for officers shall be by written ballot unless the candidate has no opposition, and then it may be by unanimous motion.
(3) 
Term of office. Each officer shall serve a one-year term.
A. 
Regular meetings. The Schenectady Energy Advisory Board shall meet at least once per month on a day and time to be determined by a vote of the members of the Board.
B. 
Special meetings. The Chairperson may call special meetings of the Schenectady Energy Advisory Board as required. Upon receipt of written request from a majority of the members of the Board, the Chairperson shall call a special meeting to convene within 10 days.
C. 
Rules. The most current version of Roberts Rules of Order shall be adopted as the rules of proceedings.
D. 
Quorum. A majority of the members (50% plus one) of the Schenectady Energy Advisory Board shall constitute a quorum for the transaction of business. Business shall not be transacted without a quorum, and nonvoting members shall not be included for purposes of determining whether a quorum is present.
Committees may be established by the Schenectady Energy Advisory Board as requested, to deal with specific issues. The Board officers shall designate committee members. Committees shall form for specific issues when there is a substantial requirement to do so.
This chapter takes effect immediately.
