There is hereby established and created an "Industrial Development
Authority of the City of Florissant, Missouri".

The Incorporators of the Industrial Development Authority are
hereby authorized to proceed to form the Industrial Development Authority
by executing, acknowledging and filing Articles of Incorporation with
the Missouri Secretary of State, as provided for in Sections 349.010
to 349.105, inclusive, RSMo. The Articles of Incorporation shall not
be amended unless authorized by the City Council in the manner provided
for in such State Statutes.

The Industrial Development Authority shall have five (5) directors
who shall be duly qualified electors and taxpayers in the City of
Florissant, Missouri. The directors shall be resident taxpayers for
five (5) years immediately prior to their appointment. No director
shall be an officer or employee of the City of Florissant, Missouri.
All directors shall be appointed for six (6) year terms by the Mayor
of the City of Florissant, Missouri, subject to confirmation by a
majority of the City Council, except that the first (1st) group of
directors shall serve until the expiration of the terms for which
they are initially appointed.

The Industrial Development Authority shall file an annual report
with the City Council, such annual report to include an audited financial
statement.

The Industrial Development Authority shall be governed by Sections
349.010 to 349.105, inclusive, RSMo., in addition to those set forth
in this Article.
