Editor's Note: The Camden Empowerment Zone Trust Commission (CETC) underwent a name change in relation to its establishment as a corporation. See Art. II for further provisions.
The Camden Empowerment Zone Trust Commission (CETC), which administers the empowerment zone grant awarded to the City of Camden, is hereby authorized to incorporate itself as a nonprofit corporation.

Before beginning operations as a nonprofit corporation, the CETC shall obtain all of the necessary approvals and complete all of the necessary steps pursuant to 26 U.S.C. § 501 and Title 15A of the New Jersey Statutes Annotated. The CETC is entitled to operate as authorized upon its presentation to City Council of proof of its filing of its 501(c)(3) application with the Internal Revenue Service and upon notification being given to City Council of the Internal Revenue's action on the application within six months thereof, provided that all other requirements have been fulfilled.
The certificate of incorporation of the Camden Empowerment Zone Trust Commission, Inc. (CETC, Inc.) as drafted by the CETC, shall not be filed until approved by resolution of City Council of the City of Camden.
The bylaws of the CETC, Inc., the nonprofit corporation, shall be drafted by the CETC, Inc.; however these bylaws or any subsequent revisions thereto shall not be effective until approved by resolution of the City Council of the City of Camden.
The CETC, Inc., is hereby authorized as the sole entity into which the federal funds, designated for use in the City of Camden's Empowerment Zone Program, flowing from the United States Department of Health and Human Services through the State of New Jersey, shall be directed.
The City Council of the City of Camden shall, by resolution, designate one of its members as liaison to the CETC, Inc.

The certificate of incorporation of the Camden Empowerment Zone Corporation, as filed with the Secretary of State of the State of New Jersey on June 7, 1996, is hereby approved.
A. 
The Board of Trustees shall consist of not more than 36 trustees.
B. 
The Trustees named in the certificate of incorporation shall hold office until the first annual meeting of the Board of Trustees and until their successors shall have been elected and qualified.
C. 
The Trustees shall serve for terms of three years; except that, of the Trustees named in the certificate of incorporation, eight of the Trustees (four block captains, one religious community representative and three economic community representatives) shall serve for terms of one year, seven Trustees (three block captains, one religious community representative and three economic community representatives) shall serve for terms of two years and four Trustees (two economic community members and two religious community representatives) shall serve for terms of three years. Each Trustee shall serve until his successor has been appointed and qualified or until he or she resigns or is removed from office pursuant to the guidelines in the bylaws.
D. 
Trustees shall be nominated by the then-serving Mayor of the City of Camden with the advice and consent of City Council, except that any trusteeship that has been vacant for a period of 60 days may be filled by the affirmative vote of the majority of the remaining Trustees without nomination by the Mayor and the advice and consent of Camden City Council; provided that, during such period, Camden City Council has failed, for whatever reason, to provide its advice and consent to a nomination for such vacancy. With respect to trusteeships to be filled by election at an annual meeting, such nominations shall be made on or before the 31st of May each year.
A. 
Twelve Trustees shall be block captains selected by the residents of the four neighborhood-based census tracts identified in the City's empowerment zone application, that is North Camden-6007; Lanning Square-6003; Cooper Grant-6006; and Gateway-6002. The selection procedure shall conform to the requirement of P.L. 103-66 and the regulations issued pursuant thereto.
B. 
Nine Trustees shall be nominated by the Mayor from the economic and educational communities, such as representatives from for-profit and nonprofit businesses, nonprofit organizations and representatives of labor. In selecting the nominees, consideration shall be given as to whether the proposed nominees are reflective of the ethnic and cultural diversity of the residents of the Camden empowerment zone.
C. 
Four Trustees shall be nominated from among the religious, educational and cultural community of the City. To the extent possible, these Trustees shall be reflective of the religious and cultural diversity of the residents of the Camden empowerment zone.
D. 
The Chairman of the Mayor's Financial Resources Advisory Board, a representative from the Camden Board of Education and a representative from Camden City Council shall serve as nonvoting, ex officio Trustees.[1]

E. 
The following City of Camden officials shall also serve as nonvoting, ex officio Trustees: the Chief of Police; Commissioner, Department of Housing and Code Enforcement; Commissioner, Department of Utilities; Commissioner, Department of Community Affairs; Executive Director, Camden Redevelopment Agency; and Executive Director, Housing Authority of the City of Camden.
F. 
The Mayor of the City of Camden and the President of the City Council of the City of Camden are Trustees of the Camden Empowerment Zone Corporation, Inc., with full voting rights. The Mayor and the President of City Council may designate a person to attend meetings and vote in their stead. The designee of the Mayor shall be a member of the administration of the City of Camden. The designee of the President of City Council shall be a member of City Council. Such designation shall be made in writing.
