Pursuant to the provisions of the Municipal Utilities Authorities Law (P.L. 1957, c. 183, N.J.S.A. 40:14B-6), the Borough of Buena Sewerage Authority is hereby reorganized as a municipal utilities authority and is hereby vested with all of the rights and powers granted and is subject to all of the duties and obligations imposed by the Act hereinabove cited and shall, from this day forward, be known by the corporate name and title of "Borough of Buena Municipal Utilities Authority."

A. 
The membership of the Authority herein created shall consist of the members of the Borough of Buena Sewerage Authority holding office at the time of this reorganization and on the effective date of this chapter. In the future, there shall continue to be five members of said Borough of Buena Municipal Utilities Authority who shall be appointed by resolution of the Borough Council to serve for five-year terms expiring on the first day of February.
B. 
In addition to the five regular members of the Borough of Buena Municipal Utilities Authority, there shall be two alternate members of said Authority, who shall be designated as "Alternate No. 1" and "Alternate No. 2," who shall serve during the absence or disqualification of any regular member or members. In the event that a regular member of said Authority is absent from any meeting or disqualified from considering any issue which comes before the Municipal Utilities Authority, Alternate No. 1 shall be first called upon to fill the temporary absence or consider the issue from which such member has been disqualified. In the event that more than one member is absent or disqualified as aforesaid, Alternate No. 2 shall serve, and Alternate No. 2 shall also serve in the event of the absence or unavailability of Alternate No. 1. The term of each alternate member shall be five years commencing on February 1 of the year of appointment; provided, however, that the initial term of Alternate No. 1 shall be four years, and the initial term of Alternate No. 2 shall be five years. The term of Alternate No. 1 shall commence on the date of appointment following enactment of this amendment and shall expire on the fourth January 31 next ensuing after the date of his appointment. The term of Alternate No. 2 shall commence on the date of his appointment and shall expire on the fifth January 31 next ensuing after the date of his appointment. Alternate members may participate in discussions of the proceedings but may not vote except in the absence or disqualification of a regular member as aforesaid. A vote of the Municipal Utilities Authority shall not be delayed in order that a regular member may vote instead of an alternate member.
In the event of a vacancy in the membership of the Municipal Utilities Authority occurring during an unexpired term of office, a person shall be appointed as a member of the Municipal Utilities Authority to serve for such unexpired term.

A. 
Effective immediately, regular and alternate members to the Borough of Buena Municipal Utilities Authority shall be paid an attendance fee for meetings actually attended by each regular and alternate member, which payment shall only be made to such member or alternate member on a quarterly basis, and then only upon submission of a duly executed voucher certifying the meetings which such regular or alternate member actually attended during the three-month period covered by such voucher. Such payment shall be considered an attendance fee and shall not be considered a salary for service as a Commissioner or Alternate Commissioner of the Municipal Utilities Authority.
B. 
The attendance fee to be paid to members of the Municipal Utilities Authority as provided for herein shall be as follows:

(1) 
Chairman: salary $5,280 per calendar year.
(2) 
Vice Chairman: salary $3,700 per calendar year.
(3) 
Regular members: salary $3,080 per calendar year.
(4) 
Alternate members: salary $1,600 per calendar year.

C. 
No additional fee or compensation shall be paid to the Chairman or to any member or alternate member of the Municipal Utilities Authority, and the Authority shall not pay or contribute toward the purchase of health or medical benefits for the Chairman or for any member or alternate member of the Authority, including participation in the New Jersey State Health Benefits Program.
D. 
In the event that any current member of the Borough of Buena Municipal Utilities Authority refuses to provide written consent to the termination of salary payments as provided for herein or to the termination of health or medical benefits as provided for herein, then, to the extent that such change is not authorized by the provisions of N.J.S.A. 40:14B-17, such member shall continue to receive the salary currently provided by § 32-4 (repealed by this section) and the medical or health benefits which are currently paid for by the Authority until the expiration of such member's current term.
A certified copy of this chapter, after its final adoption in the manner provided by law, shall be filed with the office of the Secretary of State of the State of New Jersey.
