There is hereby established and created a Board, to be known as the Community Center Board of the City of Excelsior Springs, hereinafter called the Board.

A. 
The Board shall have seven (7) members comprised as follows:
1. 
The Mayor of the City.
2. 
Three (3) persons appointed by the Mayor with the approval of the City Council;
3. 
Two (2) persons appointed by the school district located within the City; and
4. 
One (1) person appointed by the Excelsior Springs Park Board.

The Directors shall hold office for five (5) years, except that the terms of the members first appointed shall be, one of the school district members shall have an initial term of five (5) years, and one shall have an initial term of three (3) years. Of the three (3) members appointed by the Mayor and Council, one shall have an initial term of four (4) years, one shall have an initial term of three (3) years, and one shall have an initial term of two (2) years. The member appointed by the Excelsior Springs Park Board shall have an initial term of two (2) years. Thereafter, members shall serve terms of five (5) years except the Mayor whose term shall be concomitant with his/her term as Mayor. Each member shall hold office until a successor has been appointed. All vacancies shall be filled in the same manner as the original appointment. For inefficiency or neglect of duty or misconduct in office, a member of the Board may be removed by the applicable appointing authority.

Vacancies in the Board of Directors, occasioned by removal, resignation, death, or otherwise, shall be reported to the Mayor and City Council and be filled in like manner as original appointments, and no Director shall receive compensation as such.

A. 
The Directors shall immediately after their appointment, meet and organize by the election of one of their number President, and the election of such other officers as they may deem necessary.
B. 
A majority of said Board shall constitute a quorum for the transaction of business, but actions or acts to be made by said Board can only be done when four (4) Directors vote in favor of said action or act.
C. 
All meeting, records, votes, actions, and deliberations of the Board shall be open to the public unless otherwise provided by law.

A. 
The Board's organization, powers, and duties as contained herein, are those which have been delegated by the City Council, and as such are subject to the guidance and pleasure of the City Council.
B. 
The Board shall advise the City Council, School District and Park Board regarding the operation, and maintenance of the Community Center. The Board may recommend appointment by the City Manager of a suitable person to manage the Community Center, and necessary assistants, and may recommend their compensation and removal, as provided by the personnel policies of the City. In the alternative, the Board may recommend selection by the City Manager of a for-profit or non-profit entity to manage the Community Center and provide for all necessary personnel.
C. 
The Board shall make and adopt such by-laws, rules, and regulations for their guidance and for the governance and operations of the Community Center as may be expedient, not inconsistent with the policies of the City, ordinances of the City, or the laws of the State of Missouri. The Board's proposed by-laws, rules, regulations and amendments thereto shall be submitted to the City Council for their consideration and approval.
D. 
The Board shall submit an annual report to the City, School District and Park Board regarding the status and operations of the Community Center.

All monies received for community center operations shall be deposited in the Treasury of the City to the credit of the Community Center Funds established by the City and shall be kept separate and apart from the other monies of the City.
