The proper officers of the Township are hereby authorized and
directed to execute and deliver on behalf of the Township the TIF
Cooperation Agreement, in substantially the form attached hereto and
marked as Exhibit "A,"[1] in furtherance of the TIF Plan and in order to set forth,
among other things, the tax increment base and the understanding of
the Township, the County of Monroe, the Pocono Mountain School District
and the Monroe County Industrial Development Authority on how to administer
the tax increments pledged in accordance with the TIF District and
TIF Plan.

The proper officers of the Township are hereby authorized and
directed to take all such actions, execute, deliver, file and/or record
all such documents, publish all notices and otherwise comply with
the provisions of this article and the Act insofar as the transaction
contemplated by this article, in the name and on behalf of the Township.
