[HISTORY: Adopted by the Village Board of the Village of Footville as Ch. 2 of the 1990 Code. Amendments noted where applicable.]
The Village Board of the Village of Footville shall be composed of the Village President and six Trustees, whose term of office shall be two years, three of whom shall be elected each year for a term of two years. The President shall be elected in each odd-numbered year for a two-year term.
A. 
Regular meetings. Regular meetings of the Village Board shall be held on the first Thursday of each calendar month at 6:00 p.m. Any regular meeting falling on a legal holiday shall be held the next following Thursday at the same hour and place.

B. 
Special meetings. Special meetings of the Village Board may be called by two trustees by filing with the Clerk a written request stating the time and purpose for said meeting at least 24 hours prior to the time specified for such meeting. The Clerk shall immediately notify each trustee and the President of the time and purpose of such meeting. The notice shall be delivered to each trustee and the President or left at his usual place of abode. The Clerk shall cause an affidavit of service of such notice to be filed in his office prior to the time fixed for such special meeting. Special meetings may be held without notice when all members of the Board are present, or consent in writing to the holding of said meetings. Unless all trustees and the President are in attendance, no business shall be transacted at a special meeting except for the purpose stated in the notice thereof.
C. 
Place of meetings. All meetings of the Board, including special and adjourned meetings, shall be held in the Village Hall. However, any and all meetings of the Village Board may be held at any designated place upon proper public notice of said meeting at least 48 hours prior to the time specified for such meeting.
D. 
Quorum. Four trustees, including the President, shall constitute a quorum but a lesser number may adjourn from time to time or compel the attendance of absent members.
A. 
Order of business. The business of the Village Board shall be conducted in the following order:
(1) 
Call to order by presiding officer.
(2) 
Roll call (if quorum is not present, the meeting shall thereupon adjourn, which may be to a specified date).
(3) 
Reading, correction and approval of minutes of last meeting.
(4) 
Citizen's comments and suggestions.
(5) 
Presentation of accounts and allowances or disallowances.
(6) 
Presentation of petitions and communications.
(7) 
Reports of standing committees.
(8) 
Reports of special or select committees.
(9) 
Reports of Village officers.
(10) 
New business.
(11) 
Unfinished or miscellaneous business.
(12) 
Adjournment.
B. 
Agenda. The Clerk shall prepare a written agenda for each meeting and distribute the same at the meeting. No matter shall appear on the agenda unless the Clerk has it at least 48 hours before the meeting. Notice of agenda shall be given as required by statute.
C. 
Presiding officer.
(1) 
Control of meeting. The Village President shall preserve order and conduct the proceedings of the meeting. A member may appeal from the decision of the presiding officer. Such appeal is not debatable and must be sustained by a majority of the members present, exclusive of the presiding officer.
(2) 
Absence of the President. If the President is absent at any meeting, the Clerk shall call the meeting to order and preside until the Board selects a trustee to preside at that meeting.
(3) 
Participation in debate. The presiding officer may speak on any question or make any motion.
The Village Board shall direct the preparation of any ordinances by the Village Attorney. Such ordinances when prepared shall be submitted by the Village Attorney to the Village Clerk for presentation to the Village Board. The ordinance shall be read by the Clerk at the time of presentation to the Board unless reading is waived by the Village Board. All resolutions shall be submitted to the Board for consideration by the member presenting such resolution. The Board shall thereupon act upon such resolution so presented. All communications and other matters shall be submitted to the Village Board by the Village Clerk.
A. 
General rules. The deliberations of the Board shall be conducted in accordance with the parliamentary rules contained in Roberts' Rules of Order Revised, except as otherwise provided herein.
B. 
Addressing board. Except under "Citizen's Comments and Suggestions," no person other than a member of the Village Board shall address the Board unless recognized and permitted to do so by the presiding officer.
C. 
Discussion and withdrawal of motions. No ordinance, resolution or other motion shall be discussed unless it has been seconded. No motion shall be withdrawn without consent of the person making the same and the person seconding it.
D. 
Members to vote. Every member shall vote when a question is put, unless the Board shall excuse him. The President, who is by virtue of his office a trustee, is entitled to vote on every issue. The Village Clerk is directed and required, upon roll calls, to call the names of the members of the Board of Trustees in alphabetical order.
E. 
Precedence of motions.
(1) 
When a question is in debate, no action shall be in order except:
(a) 
To adjourn.
(b) 
To lay on the table.
(c) 
The previous question.
(d) 
To postpone to a certain date.
(e) 
To refer to a standing, select or special committee.
(f) 
To amend.
(g) 
To postpone indefinitely.
(2) 
These several motions shall have precedence in the order in which they stand.
F. 
Reconsideration of votes. It shall be in order for any member if in the majority to move for the reconsideration of any vote in question at the same meeting or at the next succeeding regular or adjourned meeting. A motion to reconsider being put and lost shall not be renewed.
G. 
Call for the previous question. Any member desirous of terminating the debate may call the previous question when the question announced by the President shall be "Shall the main question be put?" If a majority of the members present vote in the affirmative the main question shall be put without further debate, and its effect shall be to put an end to all debate and bring the Board to a direct vote, first upon the pending amendment, and then upon the main question.
H. 
Suspension of rules. These rules or any part thereof may be temporarily suspended in connection with any matter under consideration by a recorded vote of 2/3 of the members present.
A. 
The President shall appoint the members of the standing and special committees, and designate the Chairman of each committee.
B. 
The standing committees shall be:
(1) 
Finance and Purchasing.
(2) 
Wastewater Plant and Sewer Mains.
(3) 
Streets and Sidewalks.
(4) 
Police and Fire.
(5) 
Parks and Recreation.
(6) 
Health and Human Resources. This committee shall:

(a) 
Formulate and recommend to the Village Board policy, rules, regulations, and ordinances for the orderly management of all Village employees; however, these duties shall be at all times subject to and limited by requirements of any collective bargaining agreement entered into by the Village;
(b) 
Formulate and recommend to the Village Board an employee performance evaluation form, and assist the Village Board, when so requested by the Village Board, in the performance evaluation of all Village employees;
(c) 
Formulate and recommend to the Village Board a comprehensive set for job descriptions for all Village employment positions;
(d) 
Assist the Village Board, when so requested by the Village Board, in the selection, screening, and interview process related to the hiring of Village personnel;
(e) 
Keep such records as are necessary to the conduct of its business, including but not limited to minutes of all meetings;
(f) 
Be comprised of the Village President and two trustees appointed by the Village President.
(7) 
Water Utility.

C. 
In addition to these Village Board committees, the Village Board may create additional or other committees as they deem appropriate.

The Village Board of the Village of Footville believes that in order to execute the duties of their elective office and add to the diversity of thought and opinion in deliberations, it is expected that members be physically present at all meetings. The Village Board, however, recognizes that members may not be able to be physically present at all meetings and that technology has made it possible for individuals to interact with others from remote locations. Therefore, a member of the Village Board may be allowed to participate in a meeting of the full Village Board or a standing committee through the use of technology, with the adherence to the following guidelines and approval of the Village President:
A. 
A physical quorum must be present.
B. 
Provided a quorum is physically present, a Board Member may attend a meeting remotely if they are prevented from physically attending due to:
(1) 
Personal illness or disability;
(2) 
Employment purpose or Village business;
(3) 
A family member illness or emergency;
(4) 
Personal health concerns during a global pandemic; or
(5) 
Upon the approval of the Village President for any other reason, including but not limited to, not being physically present within the Village.
C. 
Board members participating remotely shall do so for the entire open session.
D. 
No Board member shall participate remotely more than two times during a calendar year. However, the Village Board may, by majority vote, allow a Board member to participate remotely more than two times when conditions or circumstances justify such added remote participation.
E. 
Members of the Village Board who desire to participate in a meeting remotely shall notify the Village President and Village Clerk at least one business day in advance of the meeting in question.
F. 
Members of the Village Board participating by remote access shall be considered present and shall be entitled to participate in the meeting if the following apply:
(1) 
Such member is able to hear other members of the Village Board and members of the public who are recognized by the Village Board to speak.
(2) 
The public and other members of the Village Board are able to hear the member of the Board who is not physically present at the meeting.
(3) 
If remote access fails during discussion pending an action item, that failure ends the remote participating in the meeting on the topic and precludes further participation in voting at that meeting on that single topic. If remote access is reestablished, members may rejoin discussion and action on subsequent items.
(4) 
If for any reason the remote access, in full or in part with the member, malfunctions before the adjournment of the meeting, the meeting shall continue.
G. 
Remote participation in Board meetings is limited to the Board member and professionals working with or for the Village approved by the Village President. Public input will not be taken remotely.
H. 
Remote participation is not allowed for portions of Village Board meetings held in closed session.
