The Board of Supervisors of this Township hereby signifies its intention to organize an Authority under the provisions of the Municipality Authorities Act of 1945, Act of May 2, 1945, P.L. 382, as amended, to be named "Stroud Township Sewer Authority."

In preparation for the passage of this Part, a public hearing was held on February 1, 1989, as required by law, for discussion of the intention of the Township of Stroud to create such Authority.

In pursuance of such intention, the Articles of Incorporation of such Authority are hereby approved and adopted in the following form:

In compliance with the Municipality Authorities Act of 1945 (the Act of May 2, 1945, P.L. 382, as amended and supplemented), the Township of Stroud, County of Monroe, Pennsylvania, pursuant to an ordinance duly enacted by the governing body of such Township (the "Incorporating Municipality") authorizing and directing the formation of the Authority under said Act DO HEREBY CERTIFY:

The name of the Authority shall be "STROUD TOWNSHIP SEWER AUTHORITY."
(2)
Such Authority is formed under the Municipality Authorities Act of 1945.
(3)
No other authorities have been organized under the Municipality Authorities Act of 1945 or under the Act approved June 28, 1935, P.L. 463, or are currently in existence in and for the Incorporating Municipality.

The name the Incorporating Municipality is the Township of Stroud, County of Monroe, Pennsylvania, and the names and addresses municipal authorities are as follows:

The terms of office of the first members of the Board of said Authority shall commence on the date of appointment and shall be computed from the first day of January, 1989, and all subsequent appointees shall serve a term of five years.

The purpose of the Stroud Township Sewer Authority shall be to acquire, finance, hold, construct, improve, maintain, operate, own and lease, either in the capacity of lessor or lessee, sewer collection and wastewater treatment facilities and equipment and other projects, facilities and equipment for the collection, processing, treatment, storage and disposal of sewerage and wastewater and the entry into contracts and the undertaking of all activities related thereto. The initial project to be undertaken by the Authority shall be to acquire, finance, hold, improve, maintain, operate and own (a) the sewage collection system of Stroud Township, including, without limitation, all rights-of-way, grants, other interests property comprising such system or parts thereof and all construction and engineering contracts regarding the construction of such system and grants related thereto and (b) the interest of Stroud Township in a wastewater treatment plant owned jointly with the Borough of Stroudsburg, ("Stroudsburg") including, without limitation, all contracts with Stroudsburg regarding the construction of certain improvements and renovations to the treatment plant and grants related thereto (collectively, the "Project"). In connection with the foregoing project, the Authority shall assume the responsibilities for and benefits of the group of professionals in the process of structuring the financing for the project and shall enter into a management agreement with the Incorporating Municipality in the form prescribed by the Incorporating Municipality which shall provide that the Incorporating Municipality shall operate the project as agent for the Authority. No new projects shall be undertaken without approval of the Incorporating Municipality.
 
IN WITNESS WHEREOF, the duty authorized officers of the Incorporating Municipality have executed these Articles of Incorporation on behalf of the Incorporating Municipality and have caused its seal to be duly affixed and attested this 1st day of February, 1989.

The members of the Board of said Authority, who are named in the aforesaid Articles of Incorporation, are hereby specifically appointed members of said Board for the terms set after their respective names, commencing on the date of appointment and computed from the first day of January, 1989.

The purpose and initial project of the Stroud Township Sewer Authority shall be as specified in its Articles of Incorporation as set forth in § 1-303 of the Part.

It hereby declared to be desirable the health and safety of the people of the Township of Stroud that the Township use the facilities of the Stroud Township Sewer Authority.

The Chairman or Vice Chairman of the Board of Supervisors of this Township is hereby authorized and directed to execute said Articles of Incorporation on behalf of said Township, with such changes therein as the signer may approve, and the Secretary of the Township is hereby authorized and directed to affix hereto and attest the seal of such Township. Said officers are further authorized and directed to cause a notice of intention to file said Articles of Incorporation to be published as required by law, and to file said Articles of Incorporation, together with a certified copy of this Part and required proofs of publication, with the Secretary of the Commonwealth of Pennsylvania, and to take all such action as they may deem necessary or appropriate to establish said Authority and carry out the intention of this Part.
