There is established a Board to be known as the Johnson Duderstadt Family Property Board.

The Board shall be comprised of seven (7) members from five (5) different entities with each entity appointing their own member(s) as follows: One (1) member each shall be appointed by Carroll County Memorial Hospital, Carrollton RVII Schools, Carrollton Chamber of Commerce, and Carroll County Extension Service; and three (3) members who are citizens of the Town of Carrollton appointed by the Mayor with the consent of the Council. Each entity will make its appointment within thirty (30) days after receipt of notice from the Town of a vacancy of its Board position. If any entity fails to timely appoint its Board member, then the Mayor with consent of the Council will fill such vacancy.

Members of the Board shall serve on a staggered schedule terms of three (3) years each. For purposes of initiating a staggered term schedule, three (3) members of the initial Board will each serve a one-year term, two (2) members of the initial Board will each serve a two-year term, and two (2) members of the initial Board will each serve a three-year term. Except as provided in Section 140.305, all Board members will meet the policy guidelines established by the Town Council for its Board members. Any vacancies on the Johnson Duderstadt Family Property Board that may occur, other than through expiration, shall be filled by that entity for the remaining portion of its Board member's unexpired term. Any person so appointed to fill a vacancy may, at the expiration of the unexpired term appointment, be reappointed for up to two (2) consecutive three-year terms, unless the expired term filled was for one-half (1/2) or more of a term, in which case the reappointment is limited to one (1) three-year term. After a person has served his/her maximum permitted consecutive terms, then the person may not be reappointed to the board until a full board term has expired.

No person shall serve more than two (2) consecutive terms as a Board member plus any unexpired term the member is appointed to serve, subject to the limitation in Section 140.310.

Board members shall serve without compensation.

Officers for the Board shall be a Chairman, Vice Chairman and Secretary, each of whom shall be elected annually.

The Board shall meet upon the call of a meeting by the Chairman or Vice Chairman of the Board. The Board will meet at least annually.

A majority of the members of the Board shall constitute a quorum.

The purpose and duty of the Board shall be to make recommendations to the Town Council for the usage of the Johnson Duderstadt Family Property for the best interest and betterment of the community of the Town of Carrollton.

The Board shall maintain minutes of its meetings and copies of all minutes shall be filed with the City Clerk within thirty (30) days of the date of each meeting. Any recommendations made by the Board for use of the property shall be submitted to the Town Council for consideration.
