The following words and phrases shall, for the purpose of this chapter, unless otherwise expressly stated, have the meaning herein indicated.
INTEREST
A pecuniary or material benefit directly or indirectly accruing to a municipal officer or employee as a result of a contract with the Village. For the purposes of this chapter, a municipal officer or employee shall be deemed to have an interest in the contract of:

A. 
His/Her spouse, minor children and dependents, except a contract of employment with the Village;
B. 
A firm, partnership or association of which such officer or employee is a member or employee;
C. 
A corporation of which such officer or employee is an officer, director or employee; and
D. 
A corporation any stock of which is owned or controlled directly or indirectly by such officer or employee.
MUNICIPAL OFFICER OR EMPLOYEE
An officer or employee of the Village of Dering Harbor, whether paid or unpaid, including members of any administrative board, commission, committee or other department, unit, or agency thereof. No person shall be deemed to be a municipal officer or employee solely by reason of being a volunteer firefighter or civil defense volunteer, except a fire chief or assistant fire chief.

VILLAGE
The Village of Dering Harbor, and any board, commission, council, agency, department or unit of the government of the Village of Dering Harbor.
No Village employee shall have any interest, financial or otherwise, direct or indirect, or engage in any business or transaction or professional activity or incur any obligation of any nature, which is in substantial conflict with the proper discharge of his duties in the public interest.
No Village employee shall:
A. 
Accept other employment which will impair his independence of judgment in the exercise of his official duties;
B. 
Accept employment or engage in any business or professional activity which will require him to disclose confidential information which he has gained by reason of his official position or authority;
C. 
Use or attempt to use his official position to secure unwarranted privileges or exemptions for himself or others;
D. 
Engage in any transaction as representative or agent of the town with any business entity in which he has a direct or indirect financial interest that might reasonably tend to conflict with the proper discharge of his official duties;
E. 
By his conduct give reasonable basis for the impression that any person can improperly influence him or unduly enjoy his favor in the performance of his official duties, or that he is affected by the kinship, rank, position, or influence of any party or person;
F. 
Make personal investments in enterprises which he has reason to believe may be directly involved in decisions to be made by him or which will otherwise create substantial conflict between his duty in the public interest and his private interest;
G. 
Endeavor to pursue a course of conduct which will not raise suspicion among the public that he is likely to be engaged in acts that are in violation of his trust;
H. 
Sell goods or services to any person, firm, corporation or association which is licensed or whose rates are fixed by the Village.

The Mayor of the Village shall cause a copy thereof to be distributed to every officer and employee of this municipality. Failure to distribute any such copy or failure of any officer or employee to receive such copy shall have no effect on the duty of compliance with such code, nor the enforcement of provisions thereof.
A. 
Any contract willfully entered into by or with the Village in which there is an interest prohibited by this chapter shall be null, void, and wholly unenforceable.
B. 
A violation of any of the provisions of this chapter shall constitute cause for forfeiture of pay, suspension, removal from office or discharge of employment in the form and manner as provided by law.
The Suffolk County Board of Ethics shall act as the Board of Ethics for the Village pursuant to § 808 of the General Municipal Law of the State of New York.
This chapter shall take effect immediately, whereupon the appropriate officers shall comply as expeditiously as possible with the provisions of § 806 of the General Municipal Law of the State of New York.
