All appointments for professional
services shall be made by the Township of Winslow in accordance with
the standardized procedure established hereinbelow in order to provide
accurate record keeping to be filed with the office of the Township
Clerk for such appointments.
The Appointing Authority shall mean the Governing Body of
the Township of Winslow, the Chairman and Board Members of the Township
of Winslow Planning Board, the Chairman and Board Members of the Township
of Winslow Zoning Board of Adjustment or any other Board or Commission
established within the Township of Winslow and authorized to make
professional appointments.
Services rendered or performed by a person authorized by
law to practice a recognized profession; services rendered or performed
by a person whose practice is regulated by law; services or performance
which requires knowledge of an advanced type in a field of learning
acquired by a prolonged formal course of specialized instruction and
study as distinguished from general academic instruction or apprentice-ship
in training; or, services rendered in the providing or performance
of goods or work that are original and creative in character and in
a recognized field of artistic endeavor.
A.Â
All appointments to provide professional
services shall be made by resolution of the Appointing Authority.
B.Â
All appointments to provide professional
services shall be in the name of an individual authorized or licensed
to practice said profession or service. The name of a company or firm
may follow the name of the individual.
C.Â
In all circumstances, all professional
appointees shall sign a contract with the Appointing Authority within
thirty (30) days of the date of appointment.

D.Â
The professional service contract shall
include, or otherwise have attached to it, the following:
(1)Â
A complete description of the professional
services to be rendered to the Appointing Authority;
(2)Â
The term of the professional service contract;
(3)Â
A detailed explanation of the compensation,
cost and/or expenses for providing the professional services, including
any retainer and/or hourly rates to be charged;
(4)Â
Mandatory affirmative action language/statement
as required by N.J.A.C. 17:27;
(5)Â
Proof of professional liability/errors
and omissions insurance coverage naming the township as an additional
insured and/or certificate holder with a minimum of coverage of one
million dollars ($1,000,000.) per occurrence or a lesser amount as
may be determined by the Township Legal Counsel and approved by the
township governing body based on the type of position held by the
appointed professional.

Proof that the individual is authorized
or licensed to practice the particular profession to which appointed;
and
(7)Â
State of New Jersey Business Registration
Certificate.

Affidavit as to local Pay-to-Play Law.

(9)Â
No work shall be undertaken which exceeds
designated purchase orders for those services without the express
written authorization of the township.

Appointed professionals agree to
defined, indemnify and save harmless the Township of Winslow, its
officers, agents and servants and each and every one of them against
and from all suits and costs of every name and description, and from
all damages to which the said Township of Winslow or any of its officers,
agents or servants may be put by reasons of injury to the person or
property of others resulting from carelessness and the performance
of said work, or through the negligence of the professional, or through
any act of omission on the part of the said professional, or the professional's
agents, servants, employees and/or representatives.
