It is the desire of the Council of the Borough of Media, Delaware County, Pennsylvania, and said Council hereby signifies its intention to organize a Media Business Authority under the Municipality Authorities Act of May 2, 1945, P.L. 382, as amended.[1]

A. 
The Council of the Borough of Media hereby finds and determines that improvement of the business district by the creation of the Media Business Authority is desirable for the entire Borough of Media and hereby defines said business district, for the purposes contemplated by this chapter, as all properties utilized for commercial purposes within the borough, no matter where located or zoned.
B. 
It is specified that the Borough Council retains the right existing under the Act[1] to approve any plan of the Authority.

The name of the proposed Authority shall be the Media Business Authority.

A. 
Membership. The Board of the Media Business Authority shall consist of as many members, but not less than five, as recommended by the current Board members and approved by the Borough Council.
B. 
Term. Each member of the Board of the Media Business Authority shall be appointed to serve for a three-year term.
Pursuant to said desire and intention of the Council of the Borough of Media and in conformance with the terms and provisions of said Municipality Authorities Act of 1945 and its amendments,[1] the proposed Articles of Incorporation are hereby set forth in full, as follows:
ARTICLES OF INCORPORATION OF MEDIA BUSINESS AUTHORITY
To the Secretary of the Commonwealth of Pennsylvania, Harrisburg, Pennsylvania: In compliance with the requirement of the Municipality Authorities Act of 1945, approved the second day of May, 1945, P.L. 382, as amended,[2] and pursuant to an ordinance adopted by the Municipal Authority of the Borough of Media in the County of Delaware and Commonwealth of Pennsylvania that a Municipal Authority be established under the provisions of the aforementioned law, the Council of the Borough of Media, desiring that a Municipal Authority be established and that a Certificate of Incorporation be issued to said Authority, does hereby certify:
a.
The name of the Authority shall be: Media Business Authority.
b.
The Authority is formed under the Act of May 2, 1945, P.L. 382, as amended, known as the "Municipal Authorities Act of 1945."
c.
The only other authorities organized under the provisions of the Act, or the Act approved the 28th day of June, 1935, P.L. 463, and still in existence within said Borough of Media are the Municipal Authority of the Borough of Media and the Borough of Media Parking Authority.
d.
The name of the incorporating municipality is: Borough of Media, in the County of Delaware and Commonwealth of Pennsylvania, and its authorities are:

Paul Patchel, Vice President, 219 North Jackson Street, Media.
Robert Gioggia, Councilman, 211 West Avenue, Media.
Chesterfield Cotton, Councilman, 412 North Jackson Street, Media.
James Cunningham, Councilman, 323 North Edgmont Avenue, Media.
Robert MacMahon, Councilman, Media.
Arthur A. Smith, Councilman, 4 West Jefferson, Media.

The purpose or purposes for which the Authority is organized and the powers relating thereto are as provided for in said "Municipal Authorities Act of 1945," as amended; provided, however, that all plans for the use of said powers of the Authority are approved by the Borough Council.

On this 21st day of December, 1984, before me the undersigned personally came the above-named Joan Hagan and James J. Loughran, whose official positions in the incorporating municipality are, respectively, President and Secretary of the Borough of Media Council, and who in due form of law acknowledged the foregoing to be the act and deed of the incorporating municipality for the purposes therein specified.

The proposed Articles of Incorporation of said Media Business Authority shall be executed by and on behalf of the Borough of Media by the President and Secretary of the Borough of Media and filed with the Secretary of the commonwealth. The Borough Solicitor is hereby authorized and directed to cause to be published the notice of intention to file the Articles of Incorporation with the Secretary of the commonwealth as required by the aforementioned Act.[1]
