Regular meetings of the Village Board of the
Village of Shorewood shall be held at the Village Hall in said Village
or such other place as shall be designated by the Board, pursuant
to notice, at the hour of 7:30 p.m. on the first and third Mondays
of each and every month, subject to the following exceptions: during
the months of July and August, there shall be but one meeting each
month to be held on the first Monday of such month, and when the day
of a meeting falls on the third Monday in January, the third Monday
in February, or on a statutory legal holiday when the Village Hall
is closed to the public, such meeting shall be held on the first business
day succeeding such holiday.
A.
All special meetings of the Board shall be held at
the place where the regular meetings of the Board are held.
B.
Special meetings of the Board may be called by any
two Trustees, in writing, filed with the Clerk, who shall notify each
member of the Board of the date, time and purpose of such special
meetings. Notice of special meetings of the Board shall be given to
all Trustees by the Village Manager, by the Clerk, or his or her designee,
personally or by telephone or in writing.

Personal notice shall be considered properly given
to a Trustee when:
(a)
The Village Manager, or Clerk, or his or her
designee, personally advises a Trustee of the date, time and purpose
of the meeting; or
(b)
The Village Manager, or Clerk, or his or her
designee, notifies a Trustee by telephone of the date, time and purpose
of the meeting or leaves such information by telephone message at
the home or at the regular place of business of a Trustee.

Written notice shall be considered properly given
when written notice of the date, time and purpose of a special meeting
is delivered to a Trustee personally or is left at the Trustee's home
or regular place of business, or when such written notice is mailed
to a Trustee at the Trustee's home or regular place of business at
least 48 hours before the meeting.
(3)
The party giving notice of a special meeting shall
file in the Clerk's office, prior to the time of the meeting, an affidavit
stating the manner in which and to whom notice of the meeting has
been given.
C.
Special meetings may be held without the notice specified
in this section when all members of the Board are present in person
or consent in writing, either prior to or after the meeting, to the
holding thereof, which written consent shall be filed with the Clerk.
A quorum shall be necessary for transacting any business of the Board.
A.
The President shall be, by virtue of his office, a
Trustee and preside at all meetings of the Board when present and
have a vote as Trustee.
B.
The President shall sign all ordinances, resolutions,
rules, bylaws, regulations, commissions, contracts, licenses and permits
adopted or authorized by the Board, subject to § 61.50,
Wis. Stats., and all orders drawn on the treasury except as provided
by §§ 66.0607 and 66.0609, Wis. Stats.
C.
In the absence of the President or in anticipation
of such absence, the Village Board may select another Trustee to preside.
D.
The presiding officer may speak upon any question
or make any motion if he vacates the Chair and designates a Trustee
to preside temporarily.
E.
In the event of the absence, sickness or incapacity
of the Village President, which prevents him from performing his duties
in the time of an emergency, and without first obtaining Village Board
approval therefor, the powers, duties and authority of the President
shall automatically be assumed and carried out, during such absence,
sickness or incapacity of the President, by a Trustee chairing a Village
committee, in the following order of precedence:

If any member transgresses the rules of the
Board, the presiding officer shall, or any member may, call him to
order, in which case the member called to order shall immediately
be silent, unless permitted by the Board to explain. The Board, if
appealed to, shall decide the matter.
A.
The President shall be authorized to issue process
to enforce the attendance of any absent member of the Board, when
requested by three or more members present.
B.
No member of the Board shall, during a meeting of
the Board, have the privilege of absenting himself from such meeting
without first securing special leave.
Four Trustees shall constitute a quorum in order
to transact business, but a lesser number may adjourn from time to
time.
The deliberations of the Board, while in session,
shall be governed by the manual of parliamentary practice commonly
known as "Robert's Rules of Order," except when otherwise limited
or modified by other provisions of the Village Code.
The question upon an appeal from the decision
of the presiding officer on a point of order shall be put in the following
form: "Shall the decision of the Chair be sustained?" or "Shall the
decision of the Chair stand as the judgment of this Board?"
A.
The standing committees of the Village Board shall
be as follows:

B.
It shall be the duty of the Village President, after
each Village election at which Trustees are elected, to appoint a
chairman and two other Trustees upon each of the standing committees
and to place a copy of such appointments on file with the Village
Clerk, to be made a part of the minutes of the first meeting of the
new Village Board. In addition, the President shall appoint members
of any special committees, commissions and boards as required by Wisconsin
Statutes, the provisions of this Code, or as he deems in the public
interest; unless otherwise provided by law, such appointments shall
be subject to confirmation of the Village Board. The President and
Village Manager shall be ex officio members of all standing committees,
special committees, commissions and boards.
C.
Standing committees of the Village Board shall meet
at the call of the committee chairman at such time and place as may
be agreeable to committee members, subject to the requirements of
law.
The Village Clerk shall keep a minute book in
which shall be recorded, in chronological order, full minutes of all
proceedings of the Board of Trustees and the titles of all ordinances,
rules, regulations and bylaws, with references to the book and page
where the same may be found.
The Village Clerk or, in the Clerk's absence,
the Deputy Clerk shall attend all meetings of the Village Board and
shall record and sign all proceedings thereof and all ordinances,
rules, bylaws, resolutions and regulations adopted, subject to the
provisions of §§ 61.19 and 61.25, Wis. Stats.

The business of this Board shall be conducted
formally in the following order:
When a motion is made and seconded, it shall
be deemed to be in possession of the Board and shall be stated by
the President or, if in writing, read by the Clerk previous to debate.
Such motion may be withdrawn at any time before a vote has been had
thereon, with the consent of the Board.
The vote on all resolutions and ordinances shall
be by roll call. The vote on all other matters shall be by voice.
Any proposed ordinance, resolution or other
action to be taken may be referred to a committee for review and recommendation.
Such proposal may be recommitted at any time prior to its final consideration.
It shall be in order for any member voting with
the prevailing side to move for a reconsideration of the vote on any
question immediately after such vote is had or at the next succeeding
meeting. A motion to reconsider, being put and lost, shall not be
renewed.
Any member desirous of terminating the debate
may call the previous question. Then the question announced by the
President shall be: "Shall the main question be put?" If a majority
of the members present vote in the affirmative, the main question
shall be taken without further debate, and its effect shall be to
put an end to all debate and bring the Board to a direct vote, first
upon the pending amendment and then upon the main question.
When a question is under debate no action shall
be in order, except to adjourn, to lay on the table, the previous
question, to postpone to a certain day, to refer to a standing committee,
to refer to a select committee, to amend, and to postpone indefinitely,
and these several motions shall have precedence in the order in which
they stand.
A motion to adjourn shall always be in order.
A motion to adjourn or to lay on the table and a call for the previous
question shall be decided without debate.
The President shall vote as a member of the
Board.
No member of the Board shall vote upon any proposed
ordinance, order, resolution, or proposition in which he may be personally
interested other than as a citizen of the Village.
No member shall be excused from voting without
special permission of the presiding officer.

Any of the provisions of this chapter may be
suspended temporarily by three-fourths vote of the Village Board members
present and concurring.
These rules of procedure may be amended at any
meeting of the Board in which 3/4 of the elected members of the Village
Board concur.
