Whenever a vacancy occurs on a Town board, commission or agency due to the expiration of the term of office for that position, which position is designated to be filled by the Town Council, and the Town Council fails to take action to fill such vacancy in a timely manner, then the incumbent may continue to hold office for up to 90 days following the expiration of his/her term if he/she is ready, willing, and able to do so, or until he/she has been reappointed or his/her successor has been duly appointed and qualified, whichever occurs first. Any incumbent unwilling or unable to continue to hold office for said ninety-day period shall give written notice to the Town Manager, upon receipt of which his/her office shall expire.
