A. 
The position of the Town Attorney has been created by resolution of the Town Board. An annual salary based on the Board's estimation of the time necessary to be expended in order to perform the legal services associated with the Town Attorney's position has been budgeted for the same. Legal matters, however, by their very nature are unpredictable and may require an expenditure of time in excess of that estimated by the Town Board.
B. 
Because the Town Board desires to retain legal services of the highest caliber and is cognizant that the compensation budgeted may be inadequate for said services under the circumstances, it is the purpose of this chapter to provide for the adequate compensation of the Town Attorney where the performance of legal services associated with that position extends to special matters or exceeds the time allowance estimated by the Town Board for said services to be adequately performed.
As used in this chapter, the following terms shall have the meanings indicated:
ANNUAL SALARY
The annual salary established by the Town Board for the position of Town Attorney.[1]
ANNUAL SALARY TIME
The Town Board's and Town Attorney's agreed-upon estimation of the time necessary to be expended per annum in order to perform the legal services associated with the Town Attorney's position, except legal services on special matters.
COMPENSATION
Those payments made to the Town Attorney in excess of the budgeted annual salary for time spent performing services in excess of the annual salary time and for services performed and expenses incurred on special matters.
SPECIAL MATTERS
Litigation, representation of special districts for the providing of municipal services and such other matters as the Town Board shall from time to time determine.
TOWN ATTORNEY
The public officer holding the position of Town Attorney of the Town of Newburgh in the County of Orange and State of New York.
TOWN BOARD
The Town Board of the Town of Newburgh in the County of Orange and State of New York.

To the extent that the Town Attorney performs legal services on special matters or spends time performing services associated with the position of Town Attorney exceeding the annual salary time, the Town Attorney is entitled to receive compensation above the annual salary at such hourly rates as the Town Attorney and Town Board agree upon for said services.
This chapter shall amend and supersede Town Law § 20, Subdivision 2(a), and § 27, Subdivision 1.
