The Board of Supervisors of Potter hereby signifies its intention to organize an Authority (Authority) under the terms and conditions contained in the following sections.
The name of the Authority shall be the "Potter Township Hydroelectric Authority."
The Authority shall be formed under the Municipality Authorities Act of 1945, Act of May 2, 1945, P.L. 382, 53 P.S. § 301 et seq., as amended.[1]

The following persons are hereby appointed initial members of the Board of the Authority for the terms of office indicated, whose terms shall commence on the date the Secretary of the Commonwealth issues a Certificate of Incorporation and expire on the first Monday of January following the completion of the full number of years of the term specified below:

The Authority shall be empowered to manufacture, purchase, use, transmit, sell and distribute electric power; plan, finance, construct, operate, maintain, expand, extend and improve, from time to time, the hydroelectric generating facilities referred to as the Montgomery Project and/or the Emsworth Project; produce and sell electricity from the hydroelectric generating facilities referred to as the Montgomery Project and/or the Emsworth Project and such other hydroelectric projects it may develop from time to time as it shall deem appropriate; take all action necessary or required to comply with the FERC License No. 7041 issued to Potter; and undertake all projects authorized under Section 12 of the Municipal Authorities Act of 1945, 53 P.S. § 306A(a)(12).[1]

The Articles of Incorporation of the Authority are attached hereto as though the same were fully set forth herein at length.[1]

The Articles of Incorporation of the Authority shall be executed by and on behalf of Potter by the Chairperson of the Board of Supervisors of Potter and the Seal of Potter shall be affixed thereto and attested to by the Secretary of Potter.

The Chairperson and Secretary of the Board of Supervisors of Potter and/or special legal counsel to Potter are hereby authorized and directed to cause to be published the Notice of Public Hearing, Notice of Adoption of this article and intention to file the Articles of Incorporation with the Secretary of the Commonwealth and take all other action necessary or appropriate to complete the formation of the Authority as required by the Act.
