The Memorials Advisory Commission is hereby established.

A. 
The purpose of the Memorials Advisory Commission shall be to advise and make recommendations to the City Council on appropriate means of recognizing and awarding extraordinary contributions made by individuals and organizations to the well-being of the City, the commonwealth, or the nation.
B. 
The duties of the commission shall be to:
(1) 
Develop criteria for the nomination of persons and organizations deserving recognition by the City.
(2) 
Develop appropriate means by which the City may recognize or commemorate such contributions. Forms of recognition may include public testimonial celebrations, the naming of public facilities or streets, the dedication of statues, monuments, plaques or works of art, or the creation of scholarships or other awards.
(3) 
Consider and make recommendations to the City Council on the use of City-owned property for the installation of memorial plaques or other suitable forms of recognition.
(4) 
Make nominations periodically to the City Council of persons and organizations which, in the opinion of the commission, meet the criteria described in Subsection A of this section for the receipt of awards or other forms of recognition by the City.
(5) 
Advise the City Council on matters pertaining to the maintenance and preservation of the Mary Washington Monument property in perpetuity and the improvements thereon as a memorial to Mary Washington.
C. 
The commission shall have the authority, on behalf of the City, to solicit and accept private contributions, gifts, bequests and other donations of property into a memorials fund to carry out the purposes of this division. All funds and other donations accepted by the commission shall be deposited with the City Treasurer to the credit of the City for the use of and at the direction of the commission. The commission shall submit a report to the City Council annually of all receipts and expenditures from such fund.

A. 
The Memorials Advisory Commission shall be composed of nine members appointed by the City Council. All members shall serve without compensation. It is the intent of the City Council that the membership of the commission shall include representatives from the physical sciences, law, religion, business, education, and the arts. Each member shall be a resident of the City at all times during his term of office.
B. 
All members shall be appointed for terms of four years. Vacancies shall be filled by the City Council. Any person appointed to fill a vacancy shall hold office for the remainder of the unexpired term and until his successor has qualified for office.
C. 
The commission shall hold an organizational meeting, at which the first order of business shall be the election of a chair, a vice-chair, a secretary, and such other officers as the commission may deem appropriate. All officers shall serve for one-year terms.

A. 
An organizational meeting of the Memorials Advisory Commission shall be held annually to elect officers. The commission may adopt bylaws for the conduct of meetings consistent with the provisions of this division. Special meetings may be called by the chair or the vice-chair, or upon the written request of five members of the commission.
B. 
A majority of members present at a duly called meeting shall constitute a quorum. No action of the commission shall be valid unless authorized by the vote of a majority of members actually present. The secretary shall keep minutes of all meetings. Copies of all minutes shall be signed by the secretary or other person designated by the commission to take minutes and forwarded to the clerk of the City Council within 20 days following each meeting.
