The Council (the "Council") for the Borough of West Chester (the "borough"), Chester County, Pennsylvania, constituting the governing body of the borough, finds that it is desirable for the borough to improve the business district located therein and intends to organize a municipal authority (the "Authority") under the Act of Assembly known as the "Municipality Authorities Act of 1945," Act of May 2, 1945, P.L. 382, as amended (the "Act"), for the purpose of providing business improvement and administrative services to benefit the Business Improvement District located in the Borough of West Chester, which is defined on the map and boundary description attached hereto as Exhibit A and made a part hereof.[1]

The name of the Authority shall be the "West Chester Business Improvement District Authority."
The proposed Articles of Incorporation of the Authority, in the form attached as Exhibit B and made a part hereof, are hereby approved by the Council.[1]

The first members of the Board of the Authority named in the proposed Articles of Incorporation are hereby specifically appointed members of said Board (the "Board Members") for the terms and offices set forth after their names.
The President of the Council is hereby authorized and directed to execute the Articles of Incorporation on behalf of the borough. The Secretary of the Borough is authorized and directed to attest the President's signature and affix the seal of the borough to the Articles of Incorporation. The Secretary is further authorized to publish notice of intention to file the Articles of Incorporation once in the legal periodical of Chester County and once in a newspaper of general circulation in Chester County and to file the Articles of Incorporation, a certified copy of this article, and proofs of publication of both the notice of the public meeting and the notice of intention to file said Articles of Incorporation, along with the required filing fee, with the Secretary of the Commonwealth of Pennsylvania.
The Treasurer of the borough is authorized to appropriate from the general treasury of the borough the amount necessary to pay the filing fee referenced in § 5-5.

Council finds that it is desirable for the Borough to continue its efforts to improve the Business Improvement District and the Neighborhood Improvement District ("NID") under the NID Act[1] for the purpose of providing business improvement and administrative service to benefit the West Chester Business Improvement District located in the Borough of West Chester, which is defined on the map and boundary description attached hereto as Exhibit "A" and made a part hereof.[2]

The name of the Neighborhood Improvement District shall be referred to as the "West Chester Business Improvement District."
The Neighborhood Improvement District Final Business Plan, in the form attached as Exhibit "B" and made a part hereof, is hereby adopted by Council.[1]

The managing authority of the Neighborhood Improvement District established herein, with all the rights and powers of a neighborhood improvement management association as defined under the aforementioned NID Act, shall be the existing West Chester Business Improvement District Authority.
