A. 
In order to carry out the intent of this chapter, there is hereby formed and created pursuant to the Municipal Home Rule Law of the State of New York, The Saugerties Adult Learning Community Group, hereinafter referred to as "Lifespring", which was initially established as the Senior Education Committee.
B. 
The purpose of Lifespring is to offer a broad range of noncredit courses as well as other educational activities and to provide diverse learning experiences, to foster opportunities to discuss ideas and to support a lifelong love of learning.
A. 
The Senior Education Commission of Lifespring shall consist of five persons who shall be appointed by the Town Board of the Town of Saugerties. At least four of the five members of the Commission shall be residents of the Town of Saugerties.
B. 
Members of the Commission shall serve a term of four years, with the exception that the initial term of one of the members shall be one year, one shall be two years, one shall be three years and two shall be four years.
C. 
A Chairperson and Vice-Chairperson shall be elected by and from the members of the Commission.
D. 
A quorum for the transaction of business shall consist of three members of the Senior Education Commission.
E. 
The Senior Education Commission shall have the authority to elect the officers of Lifespring and the power to remove any officer for cause and to fill any vacancy created by an officer's resignation, death or removal for the remainder of the unexpired term.
F. 
Term limits. Members of the Senior Education Commission shall be limited to two consecutive terms.
G. 
Vacancies. Any vacancies that occur in the Senior Education Commission shall be filled by the Town Board of the Town of Saugerties, which shall appoint a member of the organization to serve the remainder of the term.
H. 
The members of the Commission may make nonbinding recommendations with respect to the appointment of members to fill vacancies created by expired terms or the death, resignation or removal of a member.
A. 
Nature of membership. Membership in Lifespring shall be open to all adults who wish to join and participate in the activities of the organization. A member in Lifespring is any person who has paid dues for the current membership year. Membership shall be renewable annually based upon payment of the annual dues, to be established by the Senior Education Commission.
B. 
Members' rights. Members shall have the right to vote at all general meetings, to hold office, and to participate in the activities of the organization.
C. 
Membership year. The membership year shall be August 1 to July 31.
D. 
Annual membership meeting. The annual membership meeting shall take place in the spring no later than one month after the end of the spring semester. The purpose of the annual membership meeting shall include informing members of the status of the organization and presenting the financial report.
A. 
The Senior Education Commission shall have the authority to adopt bylaws, to provide for, among other things, officers, registrar, members at large, executive committee and standing committee.
B. 
Bylaws Committee. The Commission shall appoint a Bylaws Committee at least once every three years to review current bylaws for the purpose of revising and updating them as needed. The Bylaws Committee will present suggested changes to the Commission for review and approval.
C. 
Suggestions for change. Requests for bylaws changes may come from any member and shall be referred to the Bylaws Committee. If no Bylaws Committee is in effect, the Commission shall appoint one to consider suggestions made by members.
The fiscal year shall be August 1 through July 31.
Roberts Rules of Order Revised shall govern the community group in all cases to which they apply and are consistent with the bylaws adopted by the Senior Education Commission.
