[Adopted 6-14-1994 by Ord. No. 94-37; amended in its entirety 2-27-2001 by Ord. No. 2001-10 (Ch. 96, Art. VI, of the 1990 Code)]
The City of Vineland is hereby authorized to act as an incorporator to create a nonprofit corporation to be known as the "Vineland Police Athletic League," and the Mayor and City Clerk are hereby authorized to execute a certificate of incorporation containing provisions authorized by and consistent with this article. The City Clerk is further authorized to file the certificate of incorporation authorized by this article with the New Jersey Secretary of State after execution by the Mayor and City Clerk.
Pursuant to N.J.S.A. 15A:1-1 et seq., the certificate of incorporation shall include the following purposes:
A. 
To provide and maintain a method for the Vineland Police Department to exchange ideas, experiences and information on youth problems, their causes and treatment.
B. 
To study methods and procedures necessary to develop a constructive program with a goal toward solving youth problems.
C. 
To promote competition in the field of sportsmanship and nationally in the interest of youth.
D. 
To promote friendly and cooperative relationships between members of the Vineland community and the Vineland Police Department.
A. 
The Board of Directors of the Vineland Police Athletic League shall consist of nine members. Three members shall serve by virtue of their employment or position as follows:

(1) 
One City Council member selected by its body.
(2) 
Chief of Police or designee.
(3) 
Superintendant of Recreation, employee of the Recreation Department or Recreation Commission member selected by the Mayor.
B. 
Of the remaining six members, three shall be appointed by the Mayor and three shall be appointed by City Council to serve a four-year term.

C. 
At the expiration of each of the above terms, the new members shall be appointed for a term of four years.
D. 
Vacancies in the Board of Directors, occurring for whatever cause, shall be promptly filled by the respective appointing authority for the unexpired term thereof.
E. 
Each person shall be chosen based on qualifications and fitness for service on the Board. He/she shall have an understanding of the multicultural, multirace and multiethnic composition of the community. The membership shall represent the makeup of the community and shall be devoted to public service.
F. 
No member, officer or employee of the Board shall be interested, directly or indirectly, in any contract for work or material used by the Board or in any sale, lease or agreement in connection with lands, buildings or other property owned or controlled by it or in any fee or compensation of kind paid to any person doing business with the Board or in any other transaction of or with the Board or the benefits or profits thereof.
G. 
The members and officers of the Board shall serve without compensation.
The duration of the corporation shall be perpetual.
The Board shall elect annually at the reorganization meeting a Chairperson, Vice Chairperson, Secretary and Treasurer in accordance with its bylaws. The Board shall have no other officers. The Chairperson may appoint ad hoc committees as needed.
The Board shall develop bylaws for the corporation.
All business not inconsistent with the powers of the Board shall be conducted in accordance with its bylaws. Amendments to the bylaws require a majority vote of the entire Board.
Upon dissolution of the corporation, after payment of any debt, the corporation's assets shall not be distributed to any Board member or officer but shall be the property of the City of Vineland, consistent with the provisions of Section 115 of the United States Internal Revenue Code.
A. 
The certificate of incorporation shall include the address of the corporation's initial registered office, which shall be the office of the Vineland City Clerk, and the name of the corporation's initial registered agent at the address, as required by the New Jersey Nonprofit Corporation Act.[1]

The certificate of incorporation shall also contain the names and addresses of the first Board of the corporation and such additional information as may be required by the New Jersey Nonprofit Corporation Act.
