A body corporate and politic to be known as the "Parking Authority of the Borough or Westwood" be and hereby is created and established. Said Parking Authority is established pursuant to N.J.S.A. 40:11A-1 et seq. and shall have all of the powers and responsibilities therein provided for.
The Parking Authority shall consist of five persons whom the Governing Body shall appoint by resolution.
No Commissioner may be an officer or employee of the municipality, nor may any Commissioner receive any compensation for his/her services. A Commissioner shall be entitled, however, to necessary expenses incurred in the discharge or his duties.
If any Commissioner owns or controls a direct or indirect interest in any property included or planned to be included in a parking project, he or she shall immediately disclose said interest in writing to the Authority, which disclosure shall be entered upon the minutes of the Authority.
The seats on the Parking Authority shall be designated as Seat Numbers 1, 2, 3, 4 and 5.
The persons to serve on the Parking Authority shall serve for an initial term of office equal to the seat number to which they were appointed. Thereafter, all appointments shall be for a term of five years, except appointments to fill vacancies, which shall be for an unexpired term.
The purpose of the Parking Authority shall be the construction, provision, leasing or operation of off-street parking projects within the Borough of Westwood, together with such accessory facilities as may promote the safe, orderly and convenient flow of pedestrian and vehicular traffic within the Borough of Westwood.
The Parking Authority is hereby authorized to plan, construct, reconstruct, enlarge, improve, manage and maintain such parking project or projects as, in the opinion of the Authority, will provide an effective and satisfactory method for promoting the purpose of the Authority.
In addition to the provisions enumerated in N.J.S.A. 40:11A-6 and by way of example and not by way of limitation, the Authority shall also possess the power to:
Acquire by gift, purchase, lease or otherwise any land or interest therein and any equipment to be used thereon which the Authority may deem in furtherance of its lawful purpose.
Establish, charge and collect rents, rates or other charges to be determined exclusively by the Authority for the use of any parking facility to be operated by the Authority.
Sell, transfer, lease, mortgage or otherwise transfer an interest in any lands of the Authority upon such terms and conditions as it may determine with or without public bidding as may be in such case required.
Invest any moneys held in sinking funds in such a manner as may be lawful for public entities and to borrow money and accept grants and to enter into contract with any public entity.
Do and perform any acts and things authorized by N.J.S.A. 40:11A-1 et seq. through or by means of its own officers, agents or employees, or by contract with any person.
Exercise the power of eminent domain for the acquisition of any real property deemed necessary for its purposes; provided, however, that the Parking Authority may not acquire any interest in real estate without the consent of the Governing Body.
The Parking Authority shall keep careful accounts of all revenues in the manner approved by a registered municipal accountant and shall annually file a certified audit in the manner required by N.J.S.A. 40:11A-6.1.
The Parking Authority shall have the power to issue bonds from time to time in a manner and for the purposes set forth in N.J.S.A. 40:11A-9, 40:11A-10, 40:11A-11, 40:11A-12, 40:11A-13 and 40:11A-14.
Every parking project and all property of the Parking Authority shall be exempt from all taxes and special assessments of the State of New Jersey or any subdivision thereof.
The Borough of Westwood shall have all the powers with respect to the Parking Authority enumerated in N.J.S.A. 40:11A-1 et seq., and more particularly N.J.S.A. 40:11A-22 thereof, including by way of example and not by way of limitation the following powers:
To pledge, assign or pay to the Authority, all or any part of funds received by the municipality for or with respect to the parking or storage of motor vehicles within the streets or elsewhere, including funds collected from parking meters within the Borough of Westwood.
To sell, lease, donate or convey or permit the Authority to use any parking facility, parking meter or other land or equipment constructed or owned by the municipality for parking purposes.
To appropriate moneys for all or any part of the cost or acquisition of construction of any Parking Authority and to incur indebtedness for such purpose in accordance with the local bond laws.
To guarantee or endorse any bonds of the Authority, to subsidize the Authority.
To furnish, dedicate, construct, alter or reconstruct streets, sidewalks, alleys or other places for the benefit of the Parking Authority and to furnish municipal services and utilities to such Authority.
