The resolution adopted by the Dormont Borough Council on December 4, 1972, agreeing to participate in the South Hills Area Council of Governments is hereby ratified and approved. A copy of the resolution is attached hereto and marked Exhibit "A."[1]

The Articles of Association between the members of the South Hills Area Council of Governments is hereby approved. A copy of the Articles of Association are incorporated herein by reference and attached as Exhibit "B."[1]

The bylaws of the South Hills Area Council which were adopted by the General Assembly at the organizational meeting of said Council are ratified and approved. A copy of the bylaws are incorporated by reference, attached hereto, and marked Exhibit "C."[1]

The manner and extent of financing the association shall be through dues, grants and funds received from the membership and other sources. The dues structure of the South Hills Area Council of Governments was adopted by the General Assembly at an organizational meeting of said Council and is hereby ratified and approved. The dues structure will not be increased by any participating municipality during the calendar year 1974-1975.[1]

The formation of a nonprofit corporation by the South Hills Area Council of Governments is hereby ratified and approved. The name of the nonprofit corporation will be the "South Hills Area Council of Governments, Inc." It will be organized upon a nonstock basis, with the members being the same as the member municipalities of the unincorporated association, South Hills Area Council of Governments. The incorporators of the nonprofit corporation will be the official representatives to the Board of Directors of the Council from the member municipalities. The unincorporated association will remain in existence and shall perform all functions, powers or responsibilities delegated to it by the member municipalities. The nonprofit corporation shall perform such functions as are designated by the unincorporated association. The unincorporated association is authorized to make such payments to the nonprofit corporation as are authorized by the unincorporated association.
Real or personal property shall be acquired, managed and disposed of by action of the unincorporated association in accordance with its bylaws.
The duration of the unincorporated association shall be perpetual or until such time as the member municipalities shall elect to withdraw in accordance with the bylaws and procedures of the unincorporated association. The purpose and object of the unincorporated association shall be as enumerated in the articles and bylaws of the association. The organizational structure necessary to implement any agreement among the member municipalities shall be the South Hills Area Council of Governments, as herein set forth.
