A. 
There shall be a Department of Hospitals, headed by a Commissioner of Hospitals. The Commissioner shall be appointed by the County Executive, subject to legislative confirmation, and shall serve for the term of office for which the County Executive is elected.
B. 
In appointing the Commissioner of Hospitals, the County Executive shall consult with the Hospital Board of Managers. The Commissioner of Hospitals shall have training or experience in hospital administration.

The Commissioner shall have and exercise all the powers and duties heretofore or hereafter lawfully granted or imposed by the Charter, this code, local law, ordinance or resolution of the County Legislature or by any applicable provision of any act of the State Legislature not inconsistent with the Charter or this code. He or she shall also perform such other related functions as the County Legislature or the County Executive may designate in order to implement and accomplish the policies and responsibilities the County Legislature has prescribed. Except as otherwise provided in the Charter, the Commissioner of Hospitals shall have charge and supervision of any hospital established by the County and shall have and exercise all the powers and duties conferred or imposed by the General Municipal Law or any other law.

On or before March 1 in each year, the Commissioner shall make an annual report for the immediately preceding calendar year, covering generally the work of his or her office. The Commissioner shall make such other reports at such times as may be required by the County Legislature, County Executive or any other applicable law. Copies of all reports shall be filed with the Clerk of the County Legislature and the County Executive.

There shall be a Board of Governors, who shall also act as the Board of Managers, consisting of 10 members who shall be appointed by the County Executive for terms of five years, subject to confirmation by the Legislature. Of the members first appointed to the Hospital Board, one shall hold office for the term of one year; two for terms of two years; two for terms of three years; two for terms of four years; and three for terms of five years, from and after their appointment. At least two, but not more than three, members so appointed shall be physicians, persons licensed in the health professions or professionals in the field of hospital administration. If a vacancy shall occur otherwise than by expiration of a term, it shall be filled by appointment for the unexpired term. The Chairperson of such Board shall be selected by members of the Board for the term of one year. The Board shall advise the County Executive and the County Legislature in matters relating to the powers and duties of the Commissioner of Hospitals. The members of the Board of Governors shall further have the power to inspect and review all facilities and programs of the Department of Hospitals, with or without notice to the Commissioner of Hospitals, and may report and make recommendations to the County Executive, County Legislature and Commissioner of Hospitals. All such reports shall be deemed public records and available for inspection at the office of the County Executive at all reasonable times. The Board of Governors shall also advise and consult with the Capital Projects Committee with respect to all capital projects necessary for the Department of Hospitals. The Board of Governors shall have and exercise such other and related duties required by the County Legislature and the County Executive.
B. 
The Board shall serve as the Board of Managers in accordance with the provisions of §§ 127 and 128 of the General Municipal Law of the State of New York and shall have such powers and duties which are not inconsistent with the intent and purpose of the Charter and this code.
C. 
The Board shall make recommendations at any time pertaining to any matter at the Rockland County Health Complex to the Commissioner or the County Legislature or County Executive; aid and/or recommend to the Commissioner in regard to operation, staffing, community relations, facility conditions, construction plans and the programs and activities of the Complex; investigate any charge against the administration; and investigate any case of alleged resident abuse or mistreatment.
D. 
The Board of Governors/Board of Managers shall perform the above responsibilities consistent with the advice and direction, where applicable, of the Department of Law, Department of Personnel, Department of Finance and the Department of Audit and in accordance with the provisions of any resolution now or hereafter adopted by the County Legislature.

A. 
The Commissioner of Hospitals, within the appropriations provided therefor, shall appoint such officers, assistants and/or employees in his or her Department, including such actual deputy positions as may be authorized and budgeted, as shall be authorized by the County Legislature. All Deputy Commissioners of Hospitals shall serve at the pleasure of the Commissioner of Hospitals, subject to all applicable provisions of New York State law.
B. 
The Commissioner of Hospitals shall designate and deputize a deputy or deputies to whom shall be delegated all the powers and duties of the Commissioner of Hospitals and the authority to act generally for and in place of said Commissioner of Hospitals.
C. 
The designation or designations shall be in writing and shall designate the relative rank of the deputies, including the order of temporary succession to the duties of the Commissioner of Hospitals during absence, disability or otherwise and also may delegate among them such powers and duties as he or she may determine. The designation(s) and delegations shall be in writing and filed in the Department of Records, and copies thereof shall be filed with the Clerk to the County Legislature and with the County Executive.
